Job Description
What You will do
❖ Ensuring compliance with Companies Act, 2013, FEMA and Master Directions applicable to Non-Deposit Accepting Systemically Important NBFC’s and Banking Regulations Act.
❖ Ability to independently draft agenda, minutes, compile and maintain secretarial records, company law and Reserve bank filings, supporting internal and statutory audit.
❖ Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee/Board.
❖ Maintain statutory books, including registers of members, directors, and secretaries. ❖ Ensure compliance with Shareholders Agreement.
❖ E-filing of necessary forms and returns before the regulatory authorities.
❖ Maintenance of ROC and RBI files and records.
❖ Implement processes or systems to ensure good management of the organization.
❖ Intimation to RBI about inward remittances and outward remittances and transfer of ownership and control of Companies, if any.
❖ Handling compliances of board, committee and shareholder meetings as required under Companies Act, 2013.
❖ Handling debt listed compliances, reporting to stock exchanges as required under SEBI LODR guidelines
❖Liasoning with various regulatory authorities and external stakeholders
Qualifications
What you will need
- 3-5 years of experience
- Strong analytical, organizational, communication and interpersonal skills.
- Strong Understanding of FEMA.
- NBFC/ banking experience shall be preferred
Related qualification in Company Secretary , LLB is preferable
