Job Description

The Paralegal provides legal and administrative assistance to the Legal Department of a U.S.-based vertically integrated international modular company. The Paralegal assists the General Counsel with the day-to-day administration of the Legal Department, including direct and oversight involvement with modular manufacturing, modular construction, real estate investment and development, financing and corporate transactions and related projects.

Responsibilities Include:

  • Prepare company formation documents, foreign qualification registrations, dissolution and cancellation forms, and annual franchise filings for managing entities and VBC subsidiaries.
  • Process routine invoices, including annual registered agent fees and state annual reports for managing companies and VBC subsidiaries
  • Assist in transactional matters to order and provide corporate status and certified formation documents for transactions and ancillary transactional documents
  • Work with General Counsel and outside counsel firms in updating transaction schedules for closings
  • Assist with delivery of correspondence, contracts and other legal documents to external clients, internal department partners lenders and other business partners
  • Assist with the tracking and support for litigation matters with General Counsel and external litigation counsel
  • Create and maintain charts, databases, and tables to track pertinent operational, matter and legal information
  • Organize and maintain corporate and transaction electronic and paper filing systems and closing binders
  • Ability to professionally communicate with clients and business partners via email, text, MS Teams, and letter correspondence
  • Assist and support General Counsel and Real Estate Development team with development transactions including closing preparation and post-closing support and follow-up
  • Assists the legal staff with requests related to litigation matters, intellectual property matters, UCC filings, and contract administration 

Qualifications

  • Undergraduate degree in Business, English, Certificate in Paralegal Studies, or related field preferred, Associate Degree required
  • Minimum of 2 - 4 years of experience as a legal assistant/paralegal working closely with senior level attorneys in a law firm or corporate legal environment required
  • Ability to work independently and efficiently
