Job Description

What’s it all about?

Commercial Contract Management is a business- critical function accountable for the end-to-end Deal Process supporting all Client Incentive (sales) Agreements within Visa.

Overall Commercial Contract Management Function Accountabilities:

  1. Deal Coordination & Governance

  • Overall ownership for Process, Governance & Compliance for Incentive Deals

  • IFR Separation Scheme & Processing Compliance

  • Critical role to demonstrate compliance with the newly agreed Operating Model separating Scheme from Processing (IFR Regulation)

     

  1. Pro-active deal enablement

  • Strong understanding of the Cluster and Country specific market dynamics

  • Strong business acumen to understand the specifics of any deal

  • Anticipate subject matter expert & contract-specific questions and challenge

  • Communications & exchange of information ensuring due IFR regulation compliance

     

  1. Commercial Contract specialist advise, drafting & negotiation

  • End-to end Deal & In-life Commercial Contract Specialist Support Commercial (Sales) deals

  • Create aligned position between product & growth strategy and Finance & Tax to ensure contractual framework is client friendly yet leverages Visa’s commercial position

  • Market competitive commercial contracting capability

We are looking for a Senior Commercial Contracts Specialist to join the team and play a key role within the Function by being a subject matter expert on Client Incentive (sales) Agreements. You will partner with various stakeholders at both Visa and Clients in developing and managing legally binding agreements and contracts from approved financial proposals.

This person will be an advocate for the Visa’s sales organisation (e.g., Financial Institution Sales, and Merchant Acceptance) while working closely with Finance, Legal and Audit.

The role holder will report to the Head of Commercial Contracts Specialists.

What we expect of you, day to day.

  • You will assist the sales team to secure profitable and deliverable new business and manage the drafting, reviews and negotiation on a wide range of client/commercial agreements including but not limited to:

    • Issuer agreements

    • Acquirer agreements

    • Merchant agreements

    • Fintech agreements

  • Assist and provide commercial oversight in deal shaping, negotiations & contracting

  • Advise on client contract contracting vehicle type and commercial model

  • Identify, manage and report on key commercial / legal risks (legal risks to be communicated to Legal function and ongoing appropriate support / liaison to be maintained)

  • Provide in-life client contract management support , managing day-to-day client/commercial agreement queries and taking the lead on all relevant contract management activities

  • Identifying IFR, competition and other regulatory issues relating to client agreements, you will take the lead to ensure resolution and where necessary engage with members of the Legal and Regulatory Division, and/or external counsel

  • Working with other Visa departments across the globe, you will ensure agreements accurately reflect business needs and policies as they develop

  • You will manage, develop and maintain relationships to facilitate the effective delivery of legal advice and assistance

  • Providing training to identified business areas, on agreement structures, processes and policies

  • You will proactively contribute to the development of client agreement templates ensuring cohesion, consistency in clauses, and the general efficiency and effectiveness of the whole agreement

Qualifications

What we’re after…

  • Experienced senior commercial individual who has track record in negotiating and contracting for significant commercial  contracts

  • Experience in the Payments Industry is desired

  • Extensive commercial  contracts experience of owning and delivering pre and post contracting activity

  • Demonstrable track record of applying sound commercial acumen in the translation of a financial deal in to a contractual framework which is Client friendly yet leverages Visa’s commercial position

  • Demonstrable track record of devising new centring frameworks, new contracting approaches in support of building out a market competitive commercial contracting capability

  • Sound financial acumen and good understanding of financial modelling, contract pricing and differing pricing models

  • Ability to work well with management and leaders across various functions throughout Visa

  • Excellent written and verbal communication skills in English

  • Exceptional contract drafting skills

  • Manages well under pressure and tight deadlines

  • Strong attention to detail and ability to multi-task and manage multiple caseloads

  • Proven ability to work independently

  • Lead on related negotiations with stakeholders to ensure Visa’s legal position on important clauses is preserved and standard frameworks respected

  • Ideally qualified to Law degree, Bachelors, or equivalent degree in a business, economics/related field or equivalent achieved through extensive and demonstrably successful experience

  • Industry Standard and/or Professional Body accreditations desirable [e.g. IACCM, ICM or MCIPS]
