Job Description
The Senior Manager & Assistant General Counsel is a key leader within the MicroStrategy legal department and will manage many of the company’s in-house legal activities, including those related to corporate governance, securities, capital markets, bitcoin, and other transactional and regulatory matters, with both domestic and international dimensions. This person will help the Organization navigate board activities, securities filings, compensation programs, bitcoin/treasury activities, and strategic corporate initiatives. The Senior Manager & Assistant General Counsel position will also have transactional experience that will apply to new and unfamiliar contexts.
Responsibilities:
- Lead and collaborate with other MicroStrategy departments in preparing and reviewing SEC filings, including proxy statements, Forms 10-K, 10-Q, and 8-K, as well as Section 16 filings.
- Lead support of corporate transactional matters and other strategic initiatives such as treasury reserve management, matters related to bitcoin and other digital assets, capital markets and financing transactions, stock repurchases, and acquisitions or divestitures.
- Prepare materials for consideration by the Board and its Committees.
- Advise on Board matters, develop corporate governance policies, and implement legal controls to help ensure sound corporate governance practices.
- Advise on investor relations and external communications matters, including reviewing press releases, earnings announcements and scripts, investor presentations and communications, and other key marketing materials.
- Work with the Finance, Treasury, Tax, and Risk Management teams on banking and investment matters, corporate aircraft matters, intercompany agreements, tax planning, internal controls, and enterprise risk management.
- Manage domestic subsidiary governance function.
- Advise on establishing foreign operations and other cross-border business planning issues.
- Assist in litigation as needed.
- Manage an in-house legal team responsible for the foregoing matters.
Qualifications
- A law degree from a U.S. accredited law school.
- Must be licensed to practice law in at least one U.S. jurisdiction
- 8-10+ years of experience with reputable law firm(s) and/or in-house department(s).
- Experience with corporate governance matters and publicly traded companies generally, including Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act.
- Experience with corporate transactional matters, including capital markets/financing transactions.
- Ability to manage fast-paced workload and add value to multiple projects simultaneously.
- Self-starter who shows project ownership and enjoys working across departments.
- Superior communication and interpersonal skills and judgment.
