The Corporate Secretary function plays a key role in facilitating the relationship among the Board of Directors, management, and the company’s shareholders. Together, with the Corporate Legal function, which is comprised of lawyers, paralegals, and other professionals, the Corporate Secretary team supports the McDonald’s Board of Directors to help maintain the books and records of the company, and ensures compliance with a variety of corporate governance and public company obligations. Our goal is to protect and strengthen our brand with approximately 39,000 restaurants around the world.
Job Description
This Corporate Governance Specialist will support the Corporate Secretary function and be encouraged to work independently and creatively to handle various projects affecting our Board of Directors and corporate governance in a fast-paced environment.
Areas of responsibility include:
- Assisting in the development of Board and Committee agendas.
- Handling various Board-related projects, including annual election decisions for Director compensation, Director Code of Conduct, Board and Committee self-evaluation processing, facilitating Director matching gifts, and Director onboarding and offboarding.
- Ensuring that corporate policy updates are properly recorded and then posted to the Company’s Web site, as necessary.
- Tracking and processing correspondence sent to the Company’s Board of Directors.
- Assisting in the process of sharing pre-read and presentation materials with the Board of Directors.
- Preparing ancillary governance documents (e.g., meeting details; Director attendance).
- Assisting in the development and review of the Corporate Secretary annual budget.
- Handling ad hoc Board and Committee-related matters, at the request of the Corporate Secretary or Assistant Secretary.
Qualifications
- Bachelor’s degree preferred.
- Corporate governance and/or project management experience preferred.
- Paralegal certificate welcome but not required.
- Excellent analytical, organizational and communication skills.
- Ability to handle multiple projects, prioritize higher value work, handle deadline pressures, and sensitive information.
- Strong professional writing skills.
- Ability to work well individually and as part of a team.
- Confident and professional – comfortable interacting with senior management and members of the Board of Directors
- Intellectually curious and adaptable to change.
- Proficient in adopting and utilizing pre-existing and new technologies to drive efficiency.
