Job Description

Primary Function of Position

The Senior Paralegal reports directly to an attorney in the commercial legal team and supports the commercial legal team by providing contract management and drafting support that enables efficient, compliant business operations. This role is responsible for managing key legal processes, including coordinating assigned agreement review, execution, and storage through established systems and workflows. The Paralegal independently handles routine drafting, review, and negotiation of standard agreements in accordance with approved playbooks, escalating issues to attorneys as appropriate. Success in this role requires strong judgment, attention to detail, and effective coordination with legal, compliance, and business stakeholders.

Essential Job Duties

  • Coordinate and manage the NDA review process, including intake, tracking, review, negotiation, and escalation to attorneys in accordance with established playbooks.

  • Serve as the Legal team point of contact for the organizational contract repository system, including system administration support and user coordination.

  • Coordinate contract execution, including signature collection and timely upload of fully executed agreements to the contract repository.

  • Draft, redline, and negotiate NDAs; identify non‑standard issues and escalate to attorneys as required.

  • Draft and redline non‑standard consulting agreements, including non-standard Healthcare Professional agreements.

  • Draft Sponsorship and Grant Agreements and coordinate required compliance and internal approvals.

  • Perform routine drafting, revisions and negotiations of simple contracts such as the ones mentioned above.  (including term extensions, fee modifications, termination agreements), under the supervision of an attorney.

  • Perform additional legal and administrative support duties as assigned by the functional people manager.

Qualifications

Required Skills and Experience

  • Strong critical thinking and problem-solving skills, with exceptional organizational abilities, keen attention to detail, and a proactive drive to improve processes and tools.

  • Excellent time management skills, with the ability to effectively prioritize and manage multiple competing deadlines.

  • Advanced proficiency in Microsoft Office, particularly Microsoft Word, including use of Track Changes and document comparison tools.

  • Good knowledge of laws and regulations related to non-disclosure agreements and experience with contract management systems.

  • Deep interest in contract law and processes, and commercial transactions.

  • Strong experience working with contract management systems.

  • Works with good autonomy and has the ability to independently manage relationships with internal and external clients, partners, and vendors.

  • Proven ability to represent a commercial legal team effectively at all levels, including with executives and senior leadership.

  • Ability to navigate complex issues requiring in-depth analysis of variable factors and sound judgment.

  • Ability to manage multiple tasks simultaneously within a rapidly changing environment

Required Education and Training

  • Paralegal Certificate and Bachelor’s degree required

  • Minimum of 10 years of relevant professional experience in a related field

Working Conditions

  • Required 3 days in office per week

Preferred Skills and Experience

  • Experience in the medical device or healthcare industry

  • Working knowledge of key laws and regulations and AdvaMed Code of Ethics

It would not be typical for someone to be hired at the top end of range for the role, as actual pay will be determined based on several factors, including experience, skills, and qualifications.
