Our Corporate Advisory Group

Gilbert + Tobin’s Corporate Advisory Group advises clients on equity capital markets transactions, private and regulated mergers and acquisitions, reconstructions and capital management.

Our Corporate Advisory Group’s recent transactions include advising:

  • NYSE and ASX-listed MAC Copper Limited as lead global counsel on its $1.6 billion acquisition by NYSE and JSE-listed Harmony Gold Mining Company Limited by way of an all-cash scheme of arrangement.
  • Ramelius Resources Limited on its proposed sale of the Edna May Gold Hub, including its processing infrastructure and regional satellite tenements, to Forrestania Resources Limited for total consideration of $300 million, comprising upfront cash and Forrestania shares
  • GenusPlus Group Ltd on its agreement to acquire Brisbane-based MPC Kinetic Holdings Pty Ltd for up to $400 million and associated $200 million equity capital raising.
  • Matrix Composites & Engineering Ltd on its entry into a Scheme Implementation Deed with Advanced Innergy Holdings for its proposed acquisition of Matrix by way of a scheme of arrangement.
  • DPM Metals Inc. on Australian law aspects of the proposed $1.9 billion acquisition of Adriatic Metals Plc by way of a UK scheme of arrangement.
  • Genesis Minerals Limited on its $250 million purchase of the Laverton Gold Project from Focus Minerals Limited.

You will be joining a team of highly motivated and ambitious individuals, including partners

The role

As a valued member of the Corporate Advisory Group you will work on various matters relating to:

  • Mergers, acquisitions and disposals, and related due diligence,
  • IPOs, placements, and rights issues; and
  • Corporations Act and ASX Listing Rule compliance issues, including continuous disclosure and corporate governance.

About you

As our successful candidate you will demonstrate a desire, and the capacity, to work on high profile and technically challenging transactions. You should be an ambitious high performer, looking to work in an environment where your performance will be duly recognised and rewarded accordingly. In addition, you will have:

  • Three years PQE+
  • Broad experience in listed takeover bids, schemes of arrangement, private and public M&A and capital raising
  • Strong knowledge of the Corporations Act and Listing Rules
  • Exceptional analytical and drafting skills
  • Strong mentoring and matter management skills
