Job Description

The Opportunity

To support our continued growth, while also continuing to evolve our existing global legal and compliance framework, we, at Flywire, are seeking a dedicated Contract Administrator/Corporate Paralegal (US Remote) to join our Legal & Compliance team, reporting to the Senior Legal Counsel, Americas.

This will be a varied role working within our Legal team, with a focus on supporting our baseline contracting needs for our four industry verticals in education, healthcare, travel and business-to-business (B2B), providing corporate services management of Flywire’s corporate entities in the Americas and Europe and ensuring that appropriate recordkeeping practices are in place to support efficient operation of the Legal Department as the business expands geographically and offers new products and services.  Experience in quickly understanding new ideas and concepts, superb organizational skills, a passion for process improvement, and strong communication skills are required.

 

Main responsibilities

  • Prepare initial drafts and reviews of contracts and other legal documents such as amendments to existing contracts, non-disclosure agreements, and vendor agreements, and coordinate attorney review and approval
  • Maintain library of contract templates, playbooks, and historical documents and coordinate updates and review of materials as needed or requested
  • Summarize key provisions of contracts and perform quality assurance on contract records
  • Maintain corporate records for all Flywire entities in Americas and Europe and 
  • prepare resolutions, powers of attorney, appointments, and other documents as needed
  • Ensure that legal entities in Americas and EMEA file required reports and pay required fees and franchise taxes to remain in good standing
  • Manage, populates and keeps current the director/officer’s database
  • Serve as the point of intake for audit, due diligence, bank, and other third party requests for documentation and completion of questionnaires
  • Provide support in transactional due diligence, including managing data rooms, analyzing documents, and assigning tasks to colleagues, as needed
  • Perform special projects and general administrative support for the Legal department

Qualifications

Here’s What We’re Looking For:

  • first professional experience in a business operations-oriented role, or as a paralegal in a law firm or corporate legal department preferred
  • Bachelor’s degree or paralegal certification
  • Experience in corporate governance and project management preferred
  • Top-notch organizational and time-management skills
  • Strong written and oral communication skills
  • Trustworthy and proven ability to act with discretion and maintain confidentiality of proprietary and sensitive information.
  • Work on other projects as business needs may dictate

The US base salary range for this full-time position is $61.5k-$81k plus RSUs and benefits. Our salary ranges are determined by role, position level, and location. The range displayed on this job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and several other factors, including job-related skills, experience, relevant education and training.
