Job Description
We are seeking a high‑calibre Capital Markets Associate (NQ–2 PQE) to join our Hong Kong team. This role offers exposure to a broad range of Debt Capital Markets (DCM) and Equity Capital Markets (ECM) transactions across Asia and internationally.
You will work on high‑profile, cross‑border deals alongside an experienced and collaborative team, advising leading issuers, underwriters and financial institutions. The role provides a strong platform for technical development and client exposure, with a clear pathway to build a well‑rounded capital markets practice in a busy and growing team with consistent deal flow.
Key Responsibilities:
- Advise on and execute international debt capital markets transactions, including:
- Standalone bond issuances (Reg S / Rule 144A)
- Medium Term Note (MTN) programmes
- Regulatory capital instruments (Additional Tier 1, Tier 2 and LAC instruments)
- Hybrid securities and structured debt products
- Support on equity and equity‑linked transactions, including:
- Convertible and exchangeable bonds
- Other equity‑linked instruments
- Selected ECM transactions as required
- Draft, review and negotiate key transaction documentation, including:
- Offering circulars / prospectuses
- Subscription and underwriting agreements
- Programme documentation
- Advise clients on Hong Kong and cross‑border regulatory requirements, including:
- Listing rules (HKEX and offshore exchanges)
- Securities law compliance
- Ongoing disclosure and compliance obligations
- Liaise with regulators, stock exchanges, trustees, CMU and other transaction parties to support execution
- Work closely with international offices and local counsel on multi‑jurisdictional transactions
- Conduct legal research and provide commercial, solutions‑focused advice on transaction structuring and market practice
- Participate in client meetings, calls and business development initiatives
Qualifications
- Qualified lawyer (Hong Kong, England & Wales, or other common law jurisdiction preferred)
- NQ to 2 years’ PQE with relevant experience in capital markets (DCM preferred)
- Experience gained at a top-tier international law firm or leading regional practice
- Technically strong with excellent drafting and analytical skills
- Commercial, proactive and able to work effectively under pressure
- Strong attention to detail and organisational skills
- Effective communicator with a client‑focused mindset
- Fluency in English and native Mandarin required
