Job Description
CPP Investments has an opening for a Corporate Law Clerk (or similarly qualified candidate with subsidiary management experience) in the Legal Department. Reporting to a lawyer in the Legal Group, this is an opportunity to join CPP Investments’ legal team and provide experiential insight and guidance on corporate requirements and subsidiary maintenance (including ‘KYC’ management) to help ensure the organization remains current with applicable standards.
The successful candidate will join a dynamic team of legal and compliance professionals who engage directly with senior leadership, investment groups and other business units to help them navigate, understand, and comply with regulatory requirements in a manner consistent with our Guiding Principles and our mandate to help support a stable retirement income for 22 million CPP contributors and beneficiaries.
Role-Specific Accountabilities:
- Build a strong understanding of CPP Investments’ global subsidiaries, including their structure, appointments, and governance structures to support completion of, and responses to, inbound ‘know your client’ or ‘KYC’ requests from transaction and banking counterparties.
- Review and maintain minute books for all CPP Investments’ subsidiaries to ensure that records are complete and kept updated
- Ensure CPP Investments’ virtual minute book system remains consistent with physical minute books, including through direct engagement with global service providers that assist with corporate secretarial matters for certain non-CBCA subsidiaries
- Oversight and maintenance of CPP Investments’ internal compliance calendar (currently in Excel format but expected to transition to alternate legal entity management software) to ensure CPP Investments maintains a comprehensive understanding of, and complies with, all corporate law requirements applicable to CPP Investments’ subsidiaries
- Active engagement with global service providers to ensure subsidiary management standards and expectations are met for non-Canadian subsidiaries
- Complete annual and periodic filings, including annual returns (and coordinate with service providers where required)
- Provide guidance to internal CPP Investments teams regarding CBCA and OBCA documentation requirements for various matters (e.g., dividends / returns of capital)
- Draft corporate documentation and resolutions and work with external service providers for documentation requirements for non-CBCA entities
- Active involvement with the entity creation process for new companies, which involves collaboration with external counsel and internal teams on entity creation documentation
- Active involvement with entity dissolution process for companies that are no longer required
Qualifications
- Paralegal, Law Clerk accreditation or other substantive legal training that supports an ability to independently manage legal entities and advise on compliance obligations.
- 6 + years of experience at a law firm or corporate clerk function in-house at a large corporation with significant subsidiary management experience
- Familiarity with entity management software and systems and Excel would be an asset
- Experience establishing, maintaining and winding-up various entities; a plus if that experience includes jurisdictions outside Canada
- Strong communication and interpersonal skills, including ability to work cooperatively with many different stakeholders and ability to manage outside counsel
- Strong organizational skills
- Ability to meet deadlines and work under pressure
- Embraces accountability and ownership of team development at the group and individual levels
- Professional conduct reflecting the quality of work, demeanor, ethical values, and high standards of CPP Investments
