Job Description

We’re looking for a Counsel, Public Sector, to join Procore’s fast-growing Go-to-Market Legal (“GTML”) team within the Legal, Regulatory & Compliance (“LRC”) Department. In this role, you’ll guide complex transactions with public sector customers through review, negotiation, and execution and provide broad commercial support to the public sector teams in Procore’s Sales organization. To succeed in this role, you'll need to show up as a leader, collaborator, project manager, and self-starter able to drive multiple initiatives simultaneously.

As Counsel, Public Sector, you’ll partner with cross-functional teams, including Sales, Finance, Security, Product, Engineering, and the RFP team, to ensure we provide exceptional sales enablement and accelerate deal velocity in a rapidly evolving, fast-paced environment. Your passion for technology and deep knowledge of commercial SaaS contracts in the public sector vertical allows you to provide practical and solutions-oriented advice to your business partners, effectively calculate potential risks, manage workloads, and prioritize multiple business partner demands.

This position will report to our Director & Assistant General Counsel, Public Sector. This role can be remote or based in one of Procore’s U.S.-based office locations. We’re looking for someone to join us immediately.

What You’ll Do:

  • Draft, review, and negotiate complex commercial and SaaS sales agreements (e.g., MSAs, subscription service agreements, terms of use, public sector commercial agreements, channel and partner agreements, data processing agreements, RFP bids, statements of work, order forms, regulatory attestations and certifications, and other commercial agreements) 

  • Provide practical, commercial advice to Sales executives and internal stakeholders on a variety of Sales- and support-related legal issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in revenue transactions and analyzing and interpreting complex business and legal contractual provisions 

  • Use your considerable experience to help shape business and legal terms and deal structures and to help improve internal SOPs, engagement, and transaction processes and practices to support innovation, achieve better outcomes, and enhance transaction velocity without a material increase in risk

  • Develop, maintain, and continuously refine forms, playbooks, fallback guides, guidelines, research files, FAQs, policies, processes, procedures, and other tools essential to the efficient, scalable, and effective functioning of the GTML function

  • Efficiently partner with outside counsel as needed

  • Be accountable to the GTML function’s SLAs and other KPIs to ensure the function’s continuous high performance

  • Deliver training and education to the Sales and Customer Success organizations on, as applicable, processes, agreement forms, provisions, negotiation best practices, greater effectiveness, and other relevant legal and sales enablement issues

  • Stay informed and advise on the impacts of new and proposed local and federal regulations, SaaS, cloud computing and commercial law developments, industry trends, and best practices applicable to your areas of responsibility in the markets in which we operate

 What We’re Looking For

  • 6+ years of progressively responsible transactional commercial legal experience, with a minimum of 4 years in public sector, acquired with a prominent national law firm and in-house legal department (gained ideally at a SaaS or other high-growth technology company)

  • JD from an accredited law school and must be admitted, active, and in good standing with the state bar in which the position is located, or with another state bar and registered, or eligible to register, as in-house counsel with the state bar in which the position is located

  • Extensive experience drafting, reviewing, and negotiating complex commercial and SaaS sales and partner agreements with public sector customers (including on customer paper), particularly in U.S. SLED and preferably with a company of significant size and scale, including a working knowledge of EAR, ITAR, FAR, DFAR, FedRAMP, StateRAMP, state procurement rules and statutes, and other regulatory certifications and attestations  

  • Extensive experience drafting, reviewing, and negotiating SLED-specific reseller, partner, GSI, and cooperative agreements and flow down provisions, and a deep understanding of the related channel and service partner sales and delivery motions

  • Significant experience negotiating data privacy, protection, and security agreements and a strong command of privacy and security frameworks, including GDPR and CCPA

  • Deep understanding of SaaS business models, public sector sales motions, and commercial negotiation best practices, and familiarity with revenue recognition and related SaaS accounting standards, processes, systems, issues, and terminology

  • Demonstrated track record of motivating and influencing both internal and external stakeholders and success in executing in a fast-paced, rapidly growing global sales environment

  • Ability to simultaneously manage workloads, multiple client demands, and shifting priorities within a fast-paced, rapidly evolving environment, and to maintain clear and consistent communications with stakeholders

  • Strong desire to learn the business and to function integrally as part of an interdisciplinary team

  • High EQ, impeccable professional ethics, integrity, judgment, and demonstrated ability to handle highly confidential information

  • Able to operate autonomously while being a team player who brings a positive “can do” attitude to the workplace, working collaboratively with other members of the LRC Department and with internal business partners

Additional Information

Base Pay Range $174,400 - $239,800. Eligible for Bonus Incentive Compensation. Procore is committed to offering competitive, fair, and commensurate compensation, and has provided an estimated pay range for this role.
