Job Description
The Legal Counsel Digital provides critical advice and counsel on digitalization, software, and technology matters across Avery Dennison. This role is central to our customer-facing digital solutions and the ongoing digitization of our operations, and those of our clients. You will support the IT and Technology functions by managing software and service contracts, while steering strategy for data privacy, data use rights, AI and cybersecurity. As a key partner to our global business, you will handle a wide range of legal matters—from day-to-day queries to complex international projects—reporting directly to the Senior Legal Counsel, EMENA and Global Digital.
Key Responsibilities
Technology Transactions: Review, draft, and negotiate a broad range of agreements including SaaS, hardware purchases, AI procurement and professional services, as well as joint development agreements and collaboration ventures with partners.
Strategic Advisory: Act as a key member of commercial teams to provide high-quality legal services for multi-jurisdictional transactions, litigation resolution, and regulatory compliance.
Legal Infrastructure: Develop and enhance global templates (e.g., T&Cs, SaaS, SLAs, AI terms, API licenses, System Integrator offerings, and E-commerce terms) and create guidance tools for challenges like liability limitations and data use rights.
Digital Intelligence: Monitor legislative developments in the digital space and manage relationships with specialized outside counsel for specific projects and litigation.
Governance & Training: Upskill legal and business teams with tailored training programs on digital topics, as well as partnering with our Compliance team for specific sessions on our code of conduct and values overall.
- Work Arrangement: This is a professional role based in Oegstgeest with a requirement for occasional international travel (approximately 10%).
Qualifications
Legal Expertise: A qualified EU lawyer with a Bachelor (LL.B.) or Master of Laws (LL.M.) and 5+ years of post-bar experience as a member of at least one bar association.
Digital Specialization: Deep experience in drafting and negotiating SaaS, AI terms and hardware licensing agreements, ideally within the technology industry.
Technical Literacy: Strong understanding of issues related to cloud computing, the Internet of Things (IoT), intellectual property, and data privacy/security, paired with an intellectual curiosity for product architecture.
Solution-Oriented Problem Solving: A creative thinker who can resolve complex legal issues in innovative, practical ways while managing multiple matters in a fast-paced environment.
Strategic Communication: Excellent ability to articulate nuanced legal concepts clearly to engineering teams and senior executives, ensuring legal principles are understood by non-lawyers.
