Job Description

The Contract Associate is a member of a client Global General Procurement team, responsible for drafting, negotiating, and executing third party supplier agreements, including legal terms, according to Denali client’s corporate policies and business unit procedures, per business needs. Contract Associate will thoroughly diagnose client business needs, collaborate with client legal counsel, and work with third party suppliers to maximize customer value while mitigating risk. Contract Associate will support contract activity that may include supplier templates, or client standard contract templates, new master agreements, statements of work, amendments, or require development of specialized contract vehicles to meet client business goals and objectives. Generally, involves independent judgment and analysis of significant issue identification and resolution. Act as the client focal point for communication with legal, finance, procurement, and stakeholders for resolution of contract issues and disputes.Key Responsibilities / Job Duties:• Close collaborate with client business stakeholders to secure a thorough understanding of client business needs for the supplier relationship.• Draft, review, redline, support negotiation, and execution/filing of third-party contracts, data privacy agreements, etc. in accordance with client policy. This may include both commercial and legal terms within contracts. • Track all tasks in support of personal and team SLA goals and metrics as well as status visibility to Requesters.• Drive contract process completion: manage each step of the process working with stakeholders to overcome roadblocks and keep the process progressing to completion.• Propose/support/drive/implement new processes and improvements.• Provide training support to peers, new team members, and client as needed.• Perform peer review and other cross-check activities for quality for peers.• Prepare/review contract abstracts, contract terms interpretation, and various contract/system research activities as needed for client.• Update/review/cleanup of contract metadata within various systems for client.

Qualifications

Knowledge, Skills, and Abilities:• Contracting Functional Skills:o Ability to draft, redline, negotiate moderate to complex, non-routine contractual agreements.o Ability to review supplier proposals, understand the contract scope, and identify risk and unfavorable business or legal terms proposed while applying redlines and escalating to decision makers as appropriate.o In-depth knowledge of legal concepts, contractual terms, and constructs. o Ability to convert ambiguous and/or informal language often contained within proposals or internal requirements documents into tightly defined contract language.o Ability to perform contracting strategically to reduce contract risk, minimize administrative effort.o Provide information and documentation for audit and reporting purpose.o STRONG understanding of legal contract terms and redline scenarios/implications, with focus on North American general approach (understanding of global contract legal terms is a plus). Ability to propose best course of action based on a combination of commercial and legal redlines as well as the contract scope.o Use of independent judgment and creativity applied to resolution of contract issues.• Working knowledge of data privacy language (GDPR, etc.) guidelines.• Business Fundamentals:o Strong analytical and communication skills Attention to detail. Strong writing and grammar skills; ability to write clearly and concisely Excellent written and spoken English. Strong interpersonal, presentation and public speaking skills, must be willing to regularly engage in-person and over the phone with internal stakeholders and suppliers Excellent internal and external negotiation skills Ability to do research work and draw conclusions/recommendations in ambiguous/unprescribed scenarios where SOP does not exist.• Client Services Capabilities:o Ability to quickly master client specific contracting processes, terminology, political environment, systems, and unique requirements by various business groups.o Experience leading/supporting various scale projects within the contracting or client delivery space.o Prioritize and manage workload effectively, recognizing the quick turn-around requirements and escalating/seeking support when unable to meet deadlines for various reasons.o Drive to document/improve/implement processes and experience with frequent change.o Holistic approach to processes and team responsibility for client delivery, along with desire to share knowledge and help others grow.o Knows and understands one's own weaknesses both in terms of knowledge and personal competency and when to use other team members or external resources to fill these gaps while learning from them.o Work independently with minimal supervision and take responsibility for own work.o Knowledge of quality mgt. systems and industry best practices on implementation.o Strong academic background from a leading university.o Strong understanding and experience with end-to-end procurement processes is a plus.o Experience with Ariba, iCertis, iValua, Workday, and other P2P/contracting systems is a plus.
