Job Description

The Category Sourcing Coordinator – CapEx and Supplies is a member of a client sourcing service delivery team responsible for developing category plans in collaboration with the client, conducting sourcing activity, and drafting, negotiating and executing third party supplier agreements, according to Denali client’s corporate policies and business unit procedures. The Category Sourcing Coordinator will thoroughly diagnose client business needs, collaborate with client sourcing managers and legal counsel, and work with third party suppliers to maximize customer value while mitigating risk. This role will support contract activity that may include client standard contract templates, new master purchase agreements, statements of work, order forms, amendments, or require development of specialized contract vehicles to meet client business goals and objectives. Generally involves independent judgment and analysis of significant issue identification and resolution.  Act as the client focal point for communication with legal, finance, procurement and stakeholders for resolution of contract issues and disputes.

Key Responsibilities / Job Duties:

·        Closely collaborate with client business stakeholders to secure a thorough understanding of client business needs to form the supplier relationship

·        Review and prepare third party contracts in accordance with client policy

·        Establish master agreements with vendors based on pipeline business spend

·        Perform steps in basic contract cycle:

o   Proposal Review: Receive supplier proposals from a Client business stakeholder or Sourcing Manager and review content for any risk not already identified by the Sourcing Manager

o   Defining Scope & Business Requirements: Engage with the Requester and Sourcing Manager to define the Requester’s business requirements/needs for the contract.

o   Information Gathering: Interface with the supplier to fill in information gaps

o   Contract drafting: Once scope is defined and all requirements have been gathered, draft a Statement of Work or Order Form using the client template (a.k.a. ‘paper’). Care should be taken to omit terms contained within the proposal that are unfavorable to client, while still writing an accurate description of the work to be performed.

o   Review Process: Present the draft contract to the Requester, Sourcing Manager, supplier, and Legal team for review and approval (in that order). Incorporate any requested changes, then route to client’s Legal for final review/stamping, then to supplier for signature.  As a category lead for the Denali team, review the drafts of other team members to check that content is accurate and comprehensive.

o   Facilitation between Legal Teams: Where differences exist between supplier and client’s preferred Legal terms, liaise between both parties. Must be able to understand and summarize each party’s position.

o   Driving contract process completion: Manage each step of the process working with stakeholders to overcome roadblocks and keep the process progressing to completion.

·        Manage relationship with several key vendors and track vendor performance and value to client as part of ongoing category evaluation.

 

·        Additional Tasks:

o   Track all existing contracts and working with requesters to determine when contract amendments (renewals) are necessary

o   Perform spend analysis and collaborate with Sourcing Managers to develop key vendors for the category

o   Develop and maintain a category card with instructions on how to maximize value on every request across the full Source to Pay team.

o   Hold frequent syncs and education sessions with the Denali Source to Pay team members specializing in CapEx and Supplies to enhance value offering and performance.

Qualifications

Knowledge, Skills and Abilities:

·        Sourcing Functional Skills:

o   Sourcing experience in a sole supplier and/or low volume environment preferred

o   Ability to conduct effective Total Cost of Ownership (TCO) analysis for production, testing, and analysis tools

o   Sourcing experience in the semiconductor industry and familiarity with the related manufacturing processes preferred

o   Understanding of intellectual property rights and associated contractual risks.

·        Contracting Functional Skills:

o   Deep understanding of contract methodology specific to Capital Equipment and ability to apply various concepts to sourcing activities

o   Strong contract negotiation skills and experience in setting up master agreements and orders

o   Ability to draft moderate to complex, non-routine contractual agreements

o   Strong attention to detail and ability to draft contracts that meet high expectations for quality

o   Ability to review supplier proposals and identify risk and unfavorable business or legal terms proposed

o   Ability to convert ambiguous and/or informal language often contained within proposals or internal requirements documents into tightly-defined contract language

o   Ability to perform contracting strategically in order to reduce contract risk, minimize administrative effort

o   Familiarity with Legal language/terms

o   Use of independent judgment and creativity applied to resolution of contract issues

o   Strong analytical skills and ability to work with data in Excel using pivot tables and various other key Excel functions to analyze, organize and present data

Additional Information

Required Education and Experience

·        Bachelor’s Degree 

·        7 – 10 years of work experience in contracts, negotiations, procurement, or sourcing

·        5+ years of experience with strategic sourcing or supporting a sourcing organization
