Job Description

We are looking for leader to join as Senior Director, Executive Compensation to oversee design, program management and implementation of executive compensation at Visa Inc. In this role, you will report to, and partner with, Visa’s SVP, Total Rewards to manage executive compensation programs including the development of materials for management and the Compensation Committee, collaboration with partners in HR, Legal and Finance, implementation of programs, the direct management and development of a Executive Compensation Manager, collaboration on the production of the annual Compensation Discussion & Analysis (CD&A) in the proxy statement and other public filings, and partnership with external independent consultants to deliver on Compensation Committee meetings, programs and projects. This role will have regular and direct interaction with senior executives and Compensation Committee members. The ideal candidate will have a deep background in executive compensation at large prominent U.S. public companies with general working knowledge in finance, accounting, and benefits.

Essential Functions:

Main Responsibilities:

·       Manage process for Compensation Committee meetings including preparing materials, coordinating content across multiple functions within Visa and with external partners, and lead the reviews of the materials with multiple stakeholders

·       Coordinate preparation of externally reported materials, including compensation-related proxy tables and the CD&A for inclusion in the annual proxy statement

·       In partnership with the SVP, Total Rewards, drive the year-end performance evaluation and compensation planning process for senior executives.

·       Develop documents related to annual and ongoing executive compensation planning and execution.

·       Manage the compensation program of the Board of Directors including working with payroll and developing and delivering communications directly for Board Members.

·       Maintain awareness of the latest trends, market practice, accounting, regulations and competitive intelligence regarding executive compensation.

·       Monitor equity usage including burn rate, overhang, and other dilution analysis. Provide expertise on equity program design, including performance share design, and partner with accounting/finance on forecasts of equity compensation expense.

·       Review and confirm compensation activities related to senior executives, including tax withholding, ongoing pay stubs, and year-end tax documents.

Qualifications

Basic Qualifications:

12 or more years of work experience with a Bachelor’s Degree or at least 10 years of work experience with an Advanced degree (e.g. Masters/MBA /JD/MD); or a minimum of 5 years of work experience with a PhD

Preferred Qualifications:

·       At least 10 years of professional experience or equivalent with 5-7 years of relevant experience in a well-disciplined organization where best practices are integral to the management of the business

·       Experience leading an Executive Compensation function and a thorough understanding of Compensation & Benefits, Equity Compensation, Deferred Compensation etc.

·       Proactive, strategic thinker supported by strong analytical and project management skills

·       Superior problem identification and solving skills with ability to communicate effectively with executive management

·       High ownership of work materials and high detail orientation to ensure complete accuracy and quality of output

·       Must possess organizational, problem-solving skills, and time management skills to meet deadlines

·       Process oriented and ability to document processes with the ability to achieve the goals of multiple overlapping workstreams

·       Excellent interpersonal and people management skills

·       Able to work effectively with other functional areas and understand the operational and cultural issues relevant to achieving superior results

·       Client focused with tenacity to resolve issues and conflicts

·       High energy and enthusiasm required to partner with multiple stakeholders

Travel Requirements: This position requires travel 5-10% of the time.
