Job Description
• Maintaining relationship with clients by providing legal and regulatory advice on complex legal issues including gig economy, Transport matters, corporate governance and distance marketing of various products by global transport services companies and major corporations.
• Structured, prepared and negotiated wide-ranging legal documentation including financing and security documents, shareholder and subscription agreements, SPAs, JV agreements, technology agreements and franchise agreements.
• Assist in developing policies, procedures, frameworks and guidelines for proper functioning and adherence to Commercial & Investment standards by all stakeholders concerned.
• Assess and minimize the risks associated with the Projects and Contracts through appropriate Mitigation controls, mechanisms and strategies.
• Perform benchmarking of processes and procedures so as to adhere to best practices.
• Propose necessary changes if required to minimize delays, expenditures and enhance the profitability.
• Managing relationships with internal and external stakeholders, selecting external solution partners, and establishing new partnerships that create value for the department and client through revenue generation, knowledge sharing, or process enhancement.
• Coordinating technical aspects such as systems architecture and integration, handling financial documents including RFPs and business cases, and supporting innovation and investment initiatives from proposal to implementation.
• Tracking project progress, preparing multi-level reports, and contributing to studies, benchmarks, awareness campaigns, field inspections, and idea validation activities.
• Provide independent advice, coordination and follow up at the-point-of-need on related projects and other Agency-projects related issues, ensure and advise Manager on all project’s key issues.
• Communicate the Policies, Procedures to all relevant stakeholders and address the implementation concerns issues with necessary changes if required.
• Provide an independent review of the project’s management team work progress and methodology.
• Provide progress reports and reports on the performance of the consultants as required for the section to the section manager, director, Agency CEO.
• Assist in ensuring that key performance indicators are developed for the section and to enable effective monitoring of the projects’ performance.
• Direct and analyse statistical data and reports to identify the root causes and provide recommendations and solutions for improvement.
• Perform other responsibilities associated with the position as appropriate.
• Prepare and review legal frameworks for major Projects which client is intending to contract.
• Study, review and evaluate the contracts and agreements received by client’s agencies and departments to protect client’s rights and support negotiations as required.
• Oversee and guide Contracts Specialists, Contracts Researchers, with regard to the legal issues;
• Perform other related duties as assigned.
• Participate in drawing up the Department KPI's, Manuals & Policies;
• Participate in negotiation of settlement of client’s disputes or claims with other parties through provision of legal guidance to higher management / relevant committees.
• Participate in the legal assessment of consultants, suppliers, and contractors to ensure data validity and efficiency.
• Ensure that legal correspondence is addressed and communicated as per the direction of legal affairs director’s and in line with the Directions of the internal policies, procedures and rules.
• Participate in Vetting the petitions & legal notes to be prepared by the Counsels / Legal consultants regarding client Arbitration cases;
• Participate in negotiations of complex contracts /projects transactions, evaluate compatibility, and prepare contracts documents in accordance with client policies and procedures.
• Prepare legal documents drafts from rootstock, review and update existing contracts e.g. commercial & corporate agreements, purchasing agreements, confidentiality agreements, publishing agreements, online services agreements, international collaborative and draft legal notices where required.
• Prepare and review all Memoranda of Understanding & corporation agreements between client & relevant stakeholders to outline the relationship between them.
• Conduct Seminars & workshops to enlighten the concerned officials by the international developments in contracts field & new legislations / procedures related to the contractual procedures;
Qualifications
• Master’s in Public Policy / Law from a recognized university, PMP certificate is advantageous,
• 5 years of experiences in international consultant firm, of which 3 years at least in preparing & developing strategies, policies, manuals and procedures,
• Have excellent knowledge of corporate Contracts & Agreements and regulations, laws and practices.
