Summary of the Job
The Commercial Contracts Manager will be responsible for providing world class support from tendering to final project completion, ensuring a balance of customer centricity and risk management based on the Legal view. This role will develop, negotiate, review and approve non- standard contractual terms and conditions. Responsible for end to end contract negotiation for edits and custom contract terms with Legal perspective and analysis requested by customers, collaborating with cross functional stakeholders. To conclude, the Commercial Contracts Manager will educate sales organisation by providing risk analysis of contractual terms and exceptions to support the growth of region both financially & in terms of capability by building the risk management mind-set within the broaden regional team & influencing change at the global level.

Duties & Responsibilities:
● Provide review, analyse key issues, and assess risk in commercial contracts, developing
mitigation strategies for negotiations and sometimes leading them in complex contracts
and collaborates with sales and business to create contractual solutions.
● Negotiates contracts in partnership with Sales, Finance and other functional leads to
achieve timely deal closure and growth expectations.
● Combines business and legal expertise to create innovative custom contract solutions to
meet business objectives; evaluates and interprets contract compliance and advises
others on contractual rights and obligations, applying and recommending best practices.
● Prepare persuasive positions for (and sometimes lead) complex contract negotiations for
dispute resolution and change order requests with customers and suppliers with Legal
view
● Support the development and implementation of risk management processes and
controls working with Project Management / Services leadership
● Provide project summaries and guide Project Managers / Services leaders through
successful project execution strategies in high risk projects / deals with Legal view
● Review, negotiation, and approval of Non-Disclosure Agreements as necessary to
support proposal efforts
● Consult with the Legal Team as necessary to support contract negotiations and dispute
resolution
● Provides guidance on contractual terms, policies and procedures to sales organisation,
project managers and other operational/legal support staff, including training on
contracting practices and procedures.
● Act as a Senior Business Partner for the Commercial Team to ensure compliant performance
during the contract lifecycle and implement corrective actions when needed
Hard Skills:
● Knowledge of legal terminology and concepts as used in commercial contracts
● Experience with direct customer contact and negotiations – to develop and implement
risk mitigation plans across their portfolios
● Experience working in a matrix organisation with multiple stakeholders
● Ability to provide creative business-oriented advice in a global, fast-paced environment
● Prior experience in an “expert” role supporting a business team
● Commercial acumen and understanding of the North American government, market, and
payor dynamics
Soft Skills:
● Ability to influence and persuade with experience of negotiations
● Experience in working in different cultures and environments
● Good verbal and written communications skills, including presentations to customers and
VWTS team members
● Organised and self-motivated for success
● Demonstrated prioritisation skills and ability to manage multiple and changing priorities
Qualifications
Education & Experience Required:
● 5+ years of experience in the Nam Region with a strong understanding and
experience of Legal and Contractual terms & Conditions
● Degree with strong academic record – Legal, Business or Engineering
● Experience working with Design-Build (EP, or EPC) contractors and contracts
● Proven Working knowledge of contract forms NEC, ICHEM, FIDIC or EJCDC, CCDC
- + 8 years of commercial or transactional legal/contract negotiation experience
Preferred:
● General understanding of water treatment technologies and customer industries and operations
- Substantive knowledge of commercial contracts in NAM business
● Certified Federal Contracts Manager (CFCM)
