Job Description

VWH is seeking a Vice President/Director, Senior Counsel to fill a critical role.  The role’s primary responsibility will be to focus on transactional investment and financing agreements (e.g. warehouse repurchase or ISDA agreements).  The candidate will also coordinate with outside counsel as it pertains to fund formation and structuring.  In addition, the candidate will work with our 3rd party compliance consultant and Chief Compliance Officer to maintain compliance with the SEC and other regulatory agency requirements.  As the need arises, the candidate will aide in other operational responsibilities such as Human Resources (non-payroll) and firm governance (e.g. vendor and procedure management).  This position will have high visibility to our senior executive team as well as the firm’s CIO and founder.

Responsibilities

Transactional and Fund related activities

  • In conjunction with the investment team, review/negotiate the firm’s transactional agreements
  • Coordinate with internal parties and outside counsel to advise on fund formation and structuring, as well as to negotiate fund related agreements such as fund documents, side letters, and governing agreements

Compliance

  • Work with 3rd party compliance consultant and Chief Compliance Officer to ensure firm remains in compliance with SEC and other regulatory requirements
  • Coordinate with regulatory bodies to complete audits/exams, as needed
  • Communicate audit findings and regulatory changes with business units to proactively stay in compliance
  • Manage vendor network, ensuring adherence to regulatory requirements for vendors
  • Create/maintain policy and procedure governance process, including regular updates

Operational Items

  • Assist in negotiation of legal documents including non-disclosure agreements and vendor contracts
  • Resolve employee matters, as needed
  • Other duties as assigned

Qualifications

  • Minimum of 5 years of experience as a licensed attorney, Juris Doctorate is required
  • Minimum of 5 years of experience in private equity / hedge fund industry, preferably with exposure to the mortgage industry
  • Minimum of 5 years of experience reviewing and negotiating transactional documents related to private equity
  • Experience with regulatory agencies that oversee private equity or hedge funds (e.g. Securities and Exchange Commission (SEC))
  • Strong negotiation skills
  • Ability to create policies and procedures and suggest areas to improve
  • Ability to work independently and be a self-starter
  • Strong client services skills and ability to work as a team with internal and external counterparties
  • High sense of urgency, accountability, attention to detail, prioritization skills, and organization
  • Must currently be admitted and maintain license to practice law in one or more states in the United States
  • Strong working knowledge of MS Office Suite, especially Excel, Word, and Outlook
  • Ability to work in Uptown Dallas office
