We’re looking for a Company Secretariat professional to take a leading role alongside our Company Secretary and General Counsel, making sure Utility Warehouse stays on top of our corporate governance requirements as a FTSE 250 business.
Job Description
We're all about Impact. Your role:
As our Deputy Company Secretary, you’ll take a leading role in keeping Utility Warehouse’s governance running like clockwork, making sure we meet all our legal, listing, and regulatory obligations as a FTSE 250 organisation.
Here is what you’ll be getting stuck into:
- Board and committee operations: Preparing monthly Board and committee packs, helping shape agendas, and taking clear, accurate minutes.
- Managing group subsidiaries: Acting as company secretary for designated Group subsidiaries, looking after their agendas, packs, minutes, and filings.
- Delivering key corporate milestones: Assisting with preparations for our AGM, supporting the production of the Annual Report, and managing the annual statutory accounts filing process to hit every deadline.
- Maintaining statutory registers: Keeping company registers and the register of directors' interests up to date, working in tandem with our registrar and outsourced cosec partners.
- Regulatory submissions: Completing share capital returns, Companies House submissions, and market announcements.
- Strategic governance and ESG: Assisting with the annual renewal of Directors & Officers (D&O) insurance and collaborating with internal stakeholders to develop our ESG framework.
- Projects and policy governance: Supporting the Financial Services function with governance fora and policies, while playing an active role in business-wide compliance training and projects.

You’ll sit right at the heart of Utility Warehouse's corporate governance, working closely alongside our Company Secretary and General Counsel. We're a close-knit, supportive team that keeps the Board of Directors, executive committees, shareholders, and regulatory authorities aligned and well-informed.
You'll partner across the business—from Legal and HR to our Financial Services teams—to build trusted relationships, simplify complex processes, and champion governance best practice across a growing business.
Qualifications
This is a high-impact, hands-on role for a proactive self-starter who works well on their own initiative and loves taking ownership. You'll bring sharp attention to detail and take real pride in high standards of accuracy, especially when managing complex, detailed, or fast-paced tasks. Juggling a busy agenda with minimal fuss is second nature to you, and you bring the warmth and confidence needed to engage smoothly with Board members, senior stakeholders, and external advisors alike.
To be successful in this role you’ll need:
- UK listed experience: A solid track record working in a Company Secretariat team in a UK-listed company.
- Regulated environment background: Experience working in a regulated Financial Services environment.
- Corporate governance know-how: Thorough, practical knowledge of the UK Corporate Governance Code, Listing Rules, MAR (Market Abuse Regulation), and cosec best practice.
- Professional qualification: You’re ideally already ICSA/CGI qualified, or actively studying towards it.
- Stakeholder & advisor management: Proven confidence working alongside external legal, audit, and governance advisors, as well as senior leaders.
- Commercial & regulatory compliance: A clear awareness of statutory compliance, reporting, and broader governance frameworks.

- You’ll need attention to detail, a “can-do” attitude and a willingness to get stuck in
- You’re a self-starter, able to perform autonomously, with minimal supervision
- You maintain high standards of accuracy particularly when dealing with complex, repetitive, high-volume work
- You have excellent time management and organisational skills and are able to prioritise and manage a busy agenda
- You pride yourself on strong communication skills and have the confidence to with engage effectively with senior stakeholders, Board members and external advisors
