This position would report to the Senior In House Counsel. The ideal candidate must reside in West Palm Beach, FL, or within a quick driving distance. The ideal candidate would have at least 3-5 years' experience in commercial and business law, emphasis in transactional work. Franchise law or intellectual property law experience preferred and experience in international legal matters is a plus. 

 

Job Description

The Staff Attorney is responsible for assisting all members of the Legal Department achieving strategic goals, managing risk, and providing legal direction and guidance for United Franchise Group (UFG), a family of affiliated brands consisting of multiple international franchisors.  The position is based in West Palm Beach, Florida and is an excellent opportunity for a business-minded attorney with strong law firm training to go in-house, and a great opportunity to have a meaningful impact in support of our current transformational growth. The successful candidate will drive excellent internal client service, producing high-quality work, and protecting the organization with sound risk management. The position reports to the Senior In-House Counsel and the Director of Legal Services.

 

ESSENTIAL DUTIES AND RESPONSIBILITIES :

·         Structure, draft, review and negotiate a variety of legal documents and forms, including franchise disclosure documents (domestic and international), franchise agreements (and amendments), third-party vendor agreements, master services agreements, non-disclosure agreements, and letters of intent.

·         Support sales team by reviewing and participating in drafting and reviewing all legal documents ancillary to the franchise sales process.

·         Training internal and field sales personnel on FTC rules and guidelines.

·         Remain up to date on state and federal laws, rules and regulations regarding franchise law.

·         Conduct legal research on behalf of UFG, including its senior management and employees, on a variety of issues for both the U.S. and international franchisor businesses.

·         Support Senior In-House Counsel with litigation, subpoena process, and filing claims in bankruptcy proceedings.

·         Assist in matters of corporate governance and M&A transactions as needed.

·         Acts as a role model in demonstrating the core values in delivery of legal services.

·         Provides timely and thorough follow up with internal and external clients.

·         Appropriately and timely escalates difficult issues up the chain of command.

·         Develops new, or improves current, internal processes to improve quality.

Qualifications

Juris Doctorate from an ABA-accredited law school

Admitted to the Bar in the state of Florida

3-5 years of experience in commercial and business law, emphasis in transactional work

Franchise law or intellectual property law experience preferred

Experience in international legal matters a plus

Bilingual (English/Spanish) a plus.
