Job Description

The role will be an individual contributor role directly reporting to the Head of Finance, DOKA India.

Your responsibilities:

  • Handle Company Secretarial matters pertaining to Board & General Meetings, Memorandum & Articles of Association, Statutory Registers, Statutory Filings, and Corporate Governance
  • Identify and appraise Management of compliances applicable to the company and establish Boards responsibilities and best practices
  • Attend to Share Management responsibilities such as Share Registration and Share & Capital Issuance / Restructuring
  • Assist in research and preparation of statutory compliance checklists/templates and other checklists based on requirements mandated by Secretarial Standards
  • Assist in legal matters, drafting & vetting legal agreements with customers, suppliers, dealers etc.
  • Maintain all statutory records like Minutes, Statutory Registers, Policies
  • Conduct all Statutory Meetings stipulated during a financial year
  • Maintain a tracker for all legal cases where the company is involved
  • Manage the records of all contracts executed or being executed by the company and ensure that company’s obligation therein are fulfilled.
  • Overall management of all activities pertaining to secretarial and legal compliance
  • Associate with Corporate lawyers on various Commercial advisory
  • Support and work with other Financial functions in terms of Taxation & Audit

Qualifications

  • Qualified Company Secretary – Member of Institute of Company Secretary of India (ICSI) and /or BGL and /or Bachelor Degree (essential);
  • Additional qualification of LLB is preferred.
  • A valid membership number with the Institute of Company Secretaries of India;
  • 1 – 3 years post qualification experience in professional firms, banking or financial institutions or listed or MNC’s handling corporate secretarial matter (essential);
  • Expert knowledge in Companies Act and FEMA (essential)
  • Knowledge of international jurisdictional law, Labor Laws (desirable)
  • SAP Knowledge (preferred)

Additional Information

  • Excellent written and spoken English
  • Experienced with Blueprint OneWorld
  • Experience in Microsoft Office Suite (Word, Excel, Power Point)

  • Strong interpersonal and analytical skills
  • Ability to work under tight deadlines
  • Meticulous attention to detail

Location: This position will be based in Kharghar, Navi Mumbai.
