Job Description

This newly created position at Turnitin will report to the VP, Deputy General Counsel and will be a key member of the Turnitin legal team. The attorney will assist with critical legal support and guidance on commercial, transactional, IP, employment and real estate matters in North America and LATAM with a focus on supporting the legal aspects of the entire contract lifecycle. This position will also work collaboratively with the other legal and business affairs team members on contracts and other matters.

The successful candidate will be a dynamic, practical, technology-savvy attorney with a deep, foundational expertise in business transactions, technology and privacy, particularly domestic and international consumer data protection legislation. The successful candidate must be comfortable balancing legal risks and business strategy; if you are not comfortable in this calibration zone, this is not the right opportunity for you. You must be a team player, with the ability to distill and apply legal and commercial requirements, solution-oriented, and focused on the pursuit of excellence in providing legal advice.

Prior in-house experience ideally at a tech company or a company with a significant volume of contracting is strongly preferred but not required.

What You’ll Do

Among the primary responsibilities of the position are: 

  • Provide legal support for North American and LATAM-based commercial matters, agreements, and relationships. This will include reviewing, drafting and managing SaaS/cloud agreements, strategic partnership agreements, services agreements, statements of work, data processing agreements, order forms and vendor and procurement agreements, as well as a variety of other agreements. This support will range from basic support using standard terms and conditions to complicated engagements with significant international counterparties.
  • Support regional sales team in Tenders/RFP processes, particularly with legal review of agreements, responses and related documentation.
  • Monitor and remain current on changes to global privacy, security and compliance laws, regulatory enforcement and industry landscape to stay ahead of evolutions, trends and best practices to properly advise on contract language.
  • Develop, recommend and update standard/recommended legal language for internal client use. 
  • Work with multiple department leaders to address business, financial, insurance and legal terms in contracts with customers, vendors, and suppliers.
  • Negotiate effectively and constructively with internal partners, external clients, and other third parties.
  • Provide practical and understandable analysis and counsel on various legal issues and agreements including commercial transactions, data, privacy, intellectual property, and labor and employment matters.
  • Support, analyze, and counsel on various compliance.
  • Provide governance on contract approval and execution to ensure deals are closed appropriately. 
  • Where required, support the development of new trading territories regarding local regulations and commercial practice.
  • Assist with Compliance due diligence, policies and training, including Code of Conduct and Anti-Bribery and Anti-Corruption policies.

Qualifications

  • J.D. degree from an ABA accredited law school and be an active member in good standing of a state bar.
  • 5+ years’ experience in a law firm or in-house corporate department.
  • Creative and solution oriented, with the ability to work in a fast-paced environment.
  • Tech savvy with a willingness to learn more.
  • Comfortable with taking initiative and leading projects.
  • Excellent judgment and analytical skills with the ability to strategically assess and mitigate risk, while achieving business goals. 
  • Strong interpersonal, communication, and influencing skills. 
  • Collaborative team player who subscribes to the philosophy that there is no “I” in team; a can-do attitude, with a willingness to “roll up your sleeves” to get the job; dedicated worker who is responsive and provides timely advice.
