About The Role
Tradeshift is looking for a seasoned, pragmatic and motivated team player to serve as Associate General Counsel, Commercial based in EMEA, supporting its sales of B2B SaaS solutions, including marketplace, invoice automation, small business solutions and other B2B platform offerings. This position has a great deal of responsibility and will report to the Tradeshift General Counsel, who is based in the US.
What You’ll Be Doing
You will be helping to supervise and set standards and policies for the sales process and will provide legal counsel for drafting and negotiating a wide variety of commercial agreements, platform integrations, early customer agreements for new product launches and some strategic partnerships. You will be the face of legal at sales kick-off events and sales training activities.
You will also advise clients on the various legal risks, business strategies and other issues related to commercial transactions and general operations in EMEA, often helping to coordinate and manage outside counsel in EMEA on other topics such as litigation and human resources.
Tradeshift’s EMEA employee base and customers are primarily located in Denmark, France, the UK, and Romania. We are looking to fill this role with someone who is fluent in both English and French (German or Spanish is a plus) and located in Western Europe, preferably, Denmark, UK or France working primarily remotely if in France or the UK. This is a great opportunity to join an evolving legal team and work on ever-evolving fin-tech and SaaS offerings.
JD/equivalent from an accredited university, licensed to practice in France, Denmark, or UK (the country in which you are located)
7+ Years of relevant SaaS transactions experience for a technology company in Europe (preferably at least 7 years in-house and 2+ years at a global law firm)
Fluency in French & English
Excellent communication skills both verbal and written and excellent drafting skills
Legal negotiation fluency in English and French
Experience drafting, negotiating and managing B2B software deals (e.g., technology licensing, data protection/governance agreements, SaaS products subscription agreements, consulting service agreements, platform integrations, etc.)
Experience leading negotiations opposite large companies and coordinating legal counsel addressing multifaceted legal issues such as data protection and privacy, sanctions compliance, competition and other global legal frameworks
Experience working on, prioritizing, and managing numerous projects and deals simultaneously under competing deadlines
Experience working effectively and collaboratively cross-functionally, exercising sound business judgment with a solution mindset
Working knowledge of online software industry applicable laws and regulations
Willingness to travel within Europe and occasionally to the US (10%)
Preferred (Nice to Have) Qualifications:
Technology transactions experience at or for a fintech platform company or online marketplace company
Fluent in French (Spanish & German would be a plus)
Experience providing counseling to internet companies offering products integrated to financial services
Experience drafting custom agreements from scratch (i.e. not from existing templates)
Working knowledge of Spanish or German
Experience with data governance/machine learning/AI product counseling
Experience with a Europe or US based company with operations in China, India or other Asia pacific locations
