Job Description

Tiverton is actively looking for a skilled and experienced Senior Legal Counsel who will play a vital role in offering legal guidance and assistance to the firm. The ideal candidate will be responsible for overseeing all legal matters related to the firm's existing fund investments, investment transactions, regulatory compliance, and corporate governance. This position requires extensive legal knowledge, outstanding analytical skills, and the ability to skillfully handle complex legal and business matters.  

Primary Responsibilities 

  • Provide strategic legal guidance to the firm’s leadership team  
  • Conduct legal due diligence and risk assessment for potential transactions 
  • Participate in fund and deal structuring and negotiations to safeguard the firm's legal and business interests 
  • Collaborate with internal stakeholders to identify and mitigate legal risks while maximizing opportunities  
  • Draft, review, and negotiate various legal agreements, including investment documents, limited partnership agreements, NDAs contracts, and disclosure materials 
  • Manage Tiverton’s relationships with existing and new law firms 
  • Ensure compliance of the firm's activities with applicable laws, regulations, and internal policies 
  • Monitor changing regulatory landscapes and ensure the company's operations are aligned accordingly 

Qualifications

  • Proven track record in managing legal and compliance functions in the investment management industry, overseeing complex transactions and legal matters  
  • Strong knowledge of fund formation, investment vehicles and structuring  
  • Highly knowledgeable about financial and securities laws, regulations, and compliance  
  • Exceptional strategic thinking and problem-solving abilities, with a keen eye for identifying and mitigating legal risks  
  • Undergraduate degree from an accredited university. Juris Doctor (J.D.) degree from an accredited law school  
  • Admitted to practice law in North Carolina (New York/Delaware also strongly preferred) 
  • Minimum of 7 years working in relevant legal experience in private equity, investment management, or relevant corporate law practice 
  • Strong preference for a partner or partner-level experience  
  • High energy and positive team member with the ability and desire to thrive in an entrepreneurial, fast paced work environment
