Job Description
As a Senior Contracts & Legal Manager, you'll be responsible for supporting business within our Contracts and Legal Operations function, known internally as Commercial Operations. You will manage day-to-day activities relating to contract review, negotiation and management, working closely with business stakeholders, clients, subcontractors and suppliers.
You'll be expected to lead and support engagements primarily across Germany and the wider DACH region, while also collaborating with colleagues across EMEA and other geographies when needed. The role will see you take ownership of commercial contracts from initial review through negotiation and signature, while also supporting Germany-specific legal and compliance matters where local legal knowledge is required.
The Commercial Operations team supports the business through contract management and negotiations, legal and compliance support, process improvement and risk management. As part of the team, you will work closely with Sales, Delivery, Finance and other business functions, as well as with clients and their procurement and legal teams.
We’re ideally looking for someone based within reasonable travelling distance of Wiesbaden or Cologne. This is a hybrid role, with office attendance required around 1-2 days per week.
What You'll Be Doing
- Reviewing, drafting and redlining commercial contracts, including NDAs, MSAs, SOWs, software purchasing agreements and related documentation
- Independently negotiating contractual terms with clients, partners, suppliers and subcontractors
- Taking ownership of contracts end to end, from understanding the commercial deal through to negotiation and signature
- Working closely with Sales and Delivery to understand client requirements and ensure they are reflected appropriately in contractual documentation
- Supporting supplier and subcontractor arrangements where products or services are provided as part of a client solution
- Working on RFPs, tenders, vendor onboarding and compliance questionnaires
- Supporting data protection, privacy and GDPR-related matters, as well as other relevant regulatory requirements
- Reviewing significant contracts and escalating or providing recommendations where appropriate
- Managing contract-related information and supporting internal legal and contract systems
- Contributing to knowledge management, playbooks, templates and legal processes
- Providing and requesting peer reviews of contract redlines to support a quality-driven process
- Balancing legal and commercial risk with The Adaptavist Group’s wider strategy and priorities
- Working collaboratively with colleagues across Germany, EMEA and the wider global Commercial Operations team
Qualifications
What we're looking for
- Strong experience working with commercial contracts, particularly in sales and procurement environments
- Ability to independently manage and negotiate contracts from initial review through to signature
- Experience working closely with Sales, Delivery and other commercial stakeholders
- Confidence negotiating directly with clients, procurement teams and legal teams
- Ability to understand the commercial context behind a contract and identify legal and business risk
- Experience with data protection, privacy and GDPR
- Strong understanding of the German legal environment
- First and Second German State Examinations in law
- Excellent written and verbal communication skills in German and English
- Experience working across geographically distributed or international teams
- Strong attention to detail and the ability to work under pressure and manage competing priorities
- Good analytical and problem-solving skills
- Experience using enterprise software tools such as Jira, Microsoft Word, Excel, Google Sheets or similar
A few nice to haves
- Experience within a technology or software business
- Experience with SaaS, cloud computing and software sales
- Experience with software licensing
- Experience with both customer contracts and supplier/subcontractor arrangements
- Experience with third-party software resale
- Experience developing contract templates, processes and legal playbooks
- Experience working across multiple jurisdictions
- Familiarity with Atlassian products and related services
