Job Description
The Commercial Operations team is focused on enabling organic and inorganic growth through contract management and negotiations, compliance management, management of legal and related services and operations, and management and mitigation of risks for the company.
The primary focus of the role is to support the work of the Adaptavist Germany General Counsel with contract and legal matters, specifically contract reviews and negotiations.
Additional elements of this role are to provide support for:
- Development and management of contract and legal operations and processes, including maintaining contract templates, defining processes, and aligning these efforts with other departments and teams.
- Compliance topics such as data protection and privacy matters, application of DORA, e-commerce and other relevant regulations.
What You'll Be Doing
Independently review and negotiate (redline) legal terms of a broad range of standard commercial contracts (NDAs, MSAs, SOWs, software purchasing agreements, etc.) for clients, partners, suppliers, and others.
Working on RFPs, tenders, compliance questionnaires, including vendor onboarding, security and data privacy.
Review and potential signature of contracts of significant size, and/or recommendations to General Counsel and the Head of Commercial Operations.
Maintenance of documentation & information related to contracts, and within internal contractual IT systems.
Knowledge management and enforcement of processes.
Providing “peer reviews” of departmental contract redlines and requesting such peer reviews to support a robust, quality-driven process.
Work with process specialists who manage IT systems and knowledge (i.e. document repositories, FAQs, and wikis) associated with contracts and legal support.
Balancing risk mitigation with Adaptavist's global strategy and priorities
Work collaboratively to continually improve cross-team training, playbooks, contract templates, and legal processes for effective contract management.
Compliance support, including data protection and privacy, DORA, and e-commerce directives.
Develop and maintain a good understanding of the company's business activities, corporate privacy policies as developed by the internal compliance group, and applicable privacy laws/regulations;
Monitor, track and assess relevant laws, regulations, and industry best practices in agreed focus areas such as data privacy, DORA, e-commerce from the specific perspective of Germany and DACH legal regimes;
Assist internal compliance group with company-wide compliance program(s), as needed - for example, in the area of privacy, data management, cross-border data transfers, data subject rights, audits, and similar.
Qualifications
Where we're looking for
Excellent written and verbal communication skills (Fluent German and English).
Extensive experience working on commercial contracts, particularly in a sales and procurement environment, from pre-sales to contract closeout.
Data protection, privacy and GDPR knowledge and experience.
Significant exposure to legal and contract work. This may include, for example, a combination of some of the following:
Law degree and a good level of contracts/legal experience; or
Bachelor’s degree and a good level of contracts/legal experience.
Experience and understanding of analysing business processes for efficiency.
Use of enterprise software tools (examples might include Jira, Microsoft Word, Excel, Google Sheets, HubSpot, etc.)
Solid mechanical and analytical ability, and the ability to break down problems.
Willing to learn, take on new challenges, and resolve them methodically.
Ability to work individually or across potentially geographically distributed teams. Exposure to working across multiple countries and time zones is a plus.
Friendly and approachable with excellent interpersonal skills with international and cross-cultural experience.
A quick and efficient learner with strong forensic attention to detail.
Demonstrate the ability to work with deadlines and under pressure.
An ability to think innovatively and creatively.
Strong organisational and prioritisation skills
Strong sense of character, honesty, and teamwork
A few nice to haves
- Experience with third-party software resale.
- Experience with SaaS, cloud computing, and software sales.
- Familiarity with Atlassian products and related services.
