Job Description

We are looking for a Company Secretary/Lawyer to join our Legal team. Reporting to the General Counsel and accountable directly to the Board, through the Chair, on all matters to do with the proper functioning of the Board.

This role will perform the duties and responsibilities of a Company Secretary of Symbio Holdings Limited and its Australian subsidiary companies as required by the Corporations Act (CA), the Company's Constitution, the Australian Stock Exchange (ASX) Listing Rules - as applicable - and any other relevant legislation or regulation.

The role includes managing external company secretarial service providers for Symbio’s non-Australian legal entities.

This role is responsible for advising the board and its committees on governance matters, monitoring that board and committee policy and procedures are followed, coordinating the timely completion and despatch of board and committee papers, ensuring that the business at board and committee meetings is accurately captured in the minutes, and helping to organise and facilitate the induction and professional development of directors.

The role also includes providing general commercial legal advice to the business as directed from time to time.

Qualifications

What you'll need to succeed:

  • A relevant tertiary qualification in Law, Governance, Administration or equivalent
  • Current practicing certificate in NSW is essential. A post-graduate qualification in Governance is highly desirable
  • At least 10 years’ experience in a closely aligned functional role in the capacity of Company Secretary for an ASX publicly listed entity
  • Experience in a role with a company with Asian presence and managing offshore providers is desirable
  • Extensive experience in a senior management role working with Boards
  • Sound knowledge of the legislative framework surrounding the legal obligations of the role and Board positions on governance matters
  • Demonstrated experience developing, implementing, and adhering to a range of policies, procedures, and governance structures
  • Excellent leadership and influencing skills to manage internal MNF employees at the Executive level or otherwise on content and style of presentations for Board papers and related information
  • Ability to communicate and collaborate with senior leaders and the Board
  • Ability to communicate at all levels, particularly in relation to giving legal advice
  • Proven understanding of financial and commercial trends, issues, and regulations affecting the software or communications industry in international markets
  • Superior analytical, evaluative, and problem-solving abilities
