Job Description

Block, Inc. (formerly Square) is looking for a junior corporate and securities counsel! You will be supporting all aspects of our public company obligations and work with several partners, including our investor relations, M&A, communications, accounting, stock administration, treasury, compliance, and policy teams. This is a great opportunity to join a growing legal team and work on a variety of the latest legal issues (including cryptocurrencies and digital assets). As we expand our offerings, your ideas and contributions will make an immediate impact. You will:

  • Draft, review, and file SEC filings, including proxy statements, 10-Ks, 10-Qs, 8-Ks, S-8s, Form SDs and Section 16 filings

  • Collaborate with Block's finance, accounting, investor relations, and communications teams to work on external disclosures, such as earnings releases, investor communication materials, shareholder letters, press releases, whitepapers and SEC filings

  • Assist from time to time on public company M&A transactions, including preparing special shareholder meeting materials and conducting corporate diligence

  • Support Block's proxy statement process and annual stockholder meeting, including reviewing and updating the proxy and coordinating with the NYSE, DTC and other internal and external stakeholders

  • Oversee and administer internal cryptocurrency policies related to a variety of cryptocurrency and digital asset projects at Block. This is a great opportunity to build expertise in this evolving area of law.

  • Research and stay informed of securities implications of various cryptocurrency matters

  • Help with capital markets transactions

  • Help manage and administer certain governance policies, including Square's Insider Trading Policy and 10b5-1 plans

  • Ensure compliance with SEC and NYSE rules and regulations

  • Assist cross-functional efforts to advance environmental, social, and governance (ESG) matters

  • Assist on special corporate projects, including strategic transactions and legal trainings

  • Work with our internal teams and external advisors and experts to prioritize our goals and manage the legal aspects of being a public company

Qualifications

You have:

  • 4+ years of relevant professional experience in a law firm and/or in-house setting.

  • Experience in securities law and the 1933 and 1934 Acts

  • Experience with public company M&A or capital market transactions

  • Team player focused on helping others achieve corporate goals

  • Flexibility, willingness and ability to take on diverse tasks, both large and small, with limited supervision and to learn new areas outside of your immediate expertise

  • A J.D. degree

  • Membership in at least one state bar

Additional Information

Block takes a market-based approach to pay, and pay may vary depending on your location. U.S. locations are categorized into one of four zones based on a cost of labor index for that geographic area. The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. These ranges may be modified in the future.

Zone A: USD $202,500 - USD $247,500
Zone B: USD $188,400 - USD $230,200
Zone C: USD $178,200 - USD $217,800
Zone D: USD $168,100 - USD $205,500

This role is also eligible to participate in Block's equity plan subject to the terms of the applicable plans and policies, and may be eligible for a sign-on bonus. Sales roles may be eligible to participate in a commission plan subject to the terms of the applicable plans and policies.
