Job Description

Block is looking for a corporate counsel to lead corporate governance for our banking subsidiary, Square Financial Services, which is an FDIC chartered industrial loan company (ILC). You will also help support other general corporate matters including parent and subsidiary relationships. You will report to the Corporate Governance Lead. 

You will:

  • Coordinate ILC board and committee meetings and prepare pre-read deliverables, draft minutes, policies and committee charters as needed, stay up to date with governance requirements pertaining to ILCs and ensure that such requirements are met at each meeting

  • Attend ILC board and committee meetings and act as secretary to the board

  • Advise senior executives and directors of the bank on corporate governance issues and update related policies

  • Prepare materials for the Block parent company board, including relevant updates related to the bank

  • Monitor affiliate transactions and potential conflicts of interests together with regulatory counsel and treasury teams

  • Liaise and coordinate with product and regulatory counsel to ensure compliance with governance requirements under our banking license

  • Help with special corporate and banking projects as needed, including capital markets lending transactions, bank regulatory examinations and inspections

  • Work with our internal business and compliance teams, and with external advisors and experts

  • Manage projects, with a team-oriented approach

Qualifications

You have:

  • 5+ years of relevant corporate experience at a major law firm or financial institutions with significant experience working with banks

  • A combination of both in-house and law firm practice experience is preferred

  • Knowledge of federal and state laws and regulations affecting industrial loan companies (or similar banking institutions), including Regulation W, FDIC rules and regulations, Consumer Finance Protection Agency, and other applicable law

  • Experience with commercial lending business and deposit products

  • Excellent research and writing skills and project management ability

  • Experience as primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions is preferred

  • JD degree

  • Membership in at least one state bar
