Job Description
Block is seeking an exceptional Corporate Counsel to join our team, with a license to practice in Australia to manage international corporate governance in the APAC region. As our Corporate Counsel, you will help ensure Block's compliance with the laws and regulations of the APAC countries where Block operates (including our recent acquisition of Afterpay), will prepare for the relevant international board meetings and approvals, will manage governance requirements for our regulatory licenses and build new systems and scope new jurisdictions for Block's international expansion. You Will:
Coordinate international board meetings in the APAC region and prepare pre-read deliverables, draft minutes, keep on top of and document governance requirements in the relevant jurisdictions and ensure that such requirements are met at each meeting (including for any new jurisdictions as Block expands)
Manage ongoing requirements associated with the secondary listing of Block shares on the Australian Stock Exchange in connection with Block's acquisition of Afterpay Limited.
Work on a variety of legal matters to support business development and innovation in our international markets
Manage international filings, including audits and annual report filings
Ensure ongoing compliance with corporate governance requirements for our international financial licenses
Coordinate with product counsel to ensure compliance with governance requirements under our regulatory licenses
Provide support for cross-border M&A transactions, capital contributions, and other special corporate projects.
Manage projects with a team-oriented approach
Qualifications
You Have:
Experience in managing projects with a team-oriented approach
6+ years of relevant corporate experience at a major law firm and in-house experience, with experience working with large public companies (a combination of both in-house and law firm practice experience is even better!)
Familiarity with corporate governance requirements in Australia is required; experience with the broader APAC region
Excellent research and writing skills and project management ability
Be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions
Law degree and admitted to practise law in Australia
Have team-first attitude
