{To begin, this position will be based in San Francisco until our Oakland office opens and will require continued ongoing travel to San Francisco on occasion}

Square is seeking an exceptional attorney to focus on corporate governance and lead a team focused on international governance and subsidiary maintenance. If hired, you will play a key role in preparing for Square’s board and committee meetings, helping to keep Square’s governance policies up to date, maintaining Square’s subsidiaries, and in ensuring Square’s compliance with the laws and regulations of each country in which Square operates. This role also involves coordinating and preparing for domestic and international board meetings and approvals, overseeing the management of our international databases, building out new systems and procedures and scoping new jurisdictions for Square’s international expansion. We are looking for a highly adaptable, organized and self-motivated individual who can handle fast-paced projects independently.

You will:

  • Assist in preparing corporate governance matters, including the preparation of Square board and committee materials, policies, and charters

  • Work closely with Square’s People and Equity teams on Square’s equity plans and ESPP

  • Manage and build a high performing international governance team

  • Coordinate international board meetings and prepare pre-read deliverables, draft minutes, manage a database of required board actions and approvals and ensure that such requirements are met at each meeting

  • Work cross-functionally on a variety of legal matters to support business development and innovation in our international markets

  • Manage international filings, including with respect to audits, tax returns and annual returns

  • Ensure ongoing compliance with corporate governance requirements for our international financial licenses

  • Liaise and coordinate with international counsel to ensure compliance with all local laws and regulatory requirements

  • Provide support for cross-border M&A transactions, capital contributions, equity awards and Employee Stock Purchase Plan participation, board changes, director compensation and the preparation of audits and financial statements

  • Support domestic subsidiaries including with respect to board meetings, state filings, resolutions and consents, returns and filings

  • Lead and support special projects

  • Work closely with our internal product, business, tax, accounting and compliance teams, as well as with external advisors and experts

  • Manage projects effectively, with a team-oriented approach

Qualifications

You have:

  • At least 4 years of relevant experience in law firms, governmental agencies, and/or in-house legal departments working on international matters

  • A JD and active membership in at least one state bar

  • Fluency in translating legal advice into actionable guidance for innovative product, finance and business teams

  • Ability to organize, prioritize, and manage projects effectively

  • Sound and practical business judgment, intellectual creativity, and problem-solving skills

  • Good communication skills

  • Ability to work independently with little to no supervision and drive projects forward

  • Strong problem solving and decision-making abilities and attention to detail

  • Highly organized and proactive
