Square is seeking an exceptional attorney to focus on international corporate governance. If hired, you will play a key role in ensuring Square’s compliance with the laws and regulations of each country in which Square operates, will coordinate and prepare international board meetings and approvals, will manage our international databases and will have the opportunity to build out new systems and procedures and scope new jurisdictions for Square’s international expansion. We are looking for a highly adaptable, organized and self-motivated individual who can handle fast-paced projects independently.

You will:
Coordinate international board meetings and prepare pre-read deliverables, draft minutes, manage a database of required board actions and approvals and ensure that such requirements are met at each meeting
Work cross-functionally on a variety of legal matters to support business development and innovation in our international markets
Manage international filings, including with respect to audits, tax returns and annual returns
Ensure ongoing compliance with corporate governance requirements for our international financial licenses
Maintain our international databases and respond to requests for information
Maintain and implement the international signature authority policy
Liaise and coordinate with international counsel to ensure compliance with all local laws and regulatory requirements
Provide support for cross-border M&A transactions, capital contributions, equity awards and Employee Stock Purchase Plan participation, board changes, director compensation and the preparation of audits and financial statements
Support domestic subsidiaries including with respect to board meetings, state filings, resolutions and consents, returns and filings
Work closely with our internal product, business, tax, accounting and compliance teams, as well as with external advisors and experts
Manage projects effectively, with a team-oriented approach
Qualifications
You have:
At least 2 years of relevant experience in law firms, governmental agencies, and/or in-house legal departments working on international matters
A JD or LLM and active membership in at least one state bar
Fluency in translating legal advice into actionable guidance for innovative product, finance and business teams
Ability to organize, prioritize, and manage projects effectively
Sound and practical business judgment, intellectual creativity, and problem-solving skills
Good communication skills
Ability to work independently with little to no supervision and drive projects forward
Strong problem solving and decision-making abilities and attention to detail
Highly organized and proactive
