> Co-ordinate and execute day to day administrative and legal formalities in accordance with the law
> Ensuring the continuing good standing of client companies by ensuring all company law and contractual requirements are complied with
> Build, develop and maintain partnerships with clients
> Coach and develop junior team members to grow within their role
> Co-ordinates and reviews the administrative and legal formalities and answers client’s requests (e.g. accounts opening, acquisitions, board resolutions, official publication and filing, notarial and private deeds, incorporation and liquidations)
> Chairs board- and shareholders meetings and reviews related minutes and/or documentation
> Reviews shareholder agreements
> Drafts internal and external legal documents e.g. board resolutions, loan agreements, proxies…
> Reviews and monitors any agreement issued
> Monitors invoices, follows up and controls bank transactions
> Ensures the accuracy and exhaustiveness of client files in cooperation with Accounting Officer
> Follows up and manages on-going client business and possibilities for organic growth
> Shares market developments that might be interesting for clients
> Maintains regular contacts with clients, banks and other external parties
> KYC (Know Your Client): Monitors files, approaches errors and risks
> Prepares and maintains compliance files
> Assist in coaching and developing team members within their role
>Master in corporate, company or fiscal Law
>At least 7 years of significant experience as Corporate Officer/Counsel or Legal Advisor for a Corporate Services Company or in the Financial Industry
>Good coaching skills to develop more junior staff
>Capable of giving presentations and address and negotiate on all project related subjects in own area of expertise at internal and at client meetings
>Understanding of debtor management and of how the client fees are structured
>Knowledge of MS Office and familiarity with relevant computer software (e.g. SAP)
>Strong experience with drafting and managing contracts and other legal documents while ensuring risk mitigation for SGG. / experience in handling client acceptance procedures / experienced in handling: acquisition of participations, board resolutions, incorporation and liquidation of a company, proxies, advanced knowledge of annual reporting law. Perfect understanding of quality and compliance.

>Fluent in English , additional language would be considered an asset
