Job Description

We are looking for a capable and driven junior lawyer (3-5 years’ experience) to join our growing Legal Department as Counsel, Corporate and Joint Ventures. The Counsel, Corporate and Joint Ventures, will play a critical role on the legal team, primarily focused on effectively supporting the Company’s joint ventures, operating partnership, strategic investments, and general corporate and securities needs. You will report to the Associate General Counsel – Corporate and Securities and will work collaboratively with other members of the Legal, Acquisitions, Tax, Investor Services, and Corporate Finance Departments and colleagues across the Company. You will be not just a legal advisor but a critical business partner.

Key Duties and Responsibilities:

  • Joint Ventures.
    • Support the Company’s joint ventures, including strategic interactions with counterparties, entity maintenance/investor actions, and JV agreement interpretation and negotiation.
    • Interpret and advise on contractual rights and obligations; draft consents, amendments, and transfer and other documentation.
    • Cross-functional engagement with Acquisitions, Tax, Investor Services, Corporate Finance, and other departments.
  • Operating Partnership.
    • Work with Tax, HR, and other colleagues to support the functioning of Public Storage’s UPREIT operating partnership, Public Storage OP, LP.
    • Assist with partnership agreement interpretation and amendments.
    • Support admittance of further investors, transfers and redemptions, and LTIP equity award program.
  • General Corporate and Securities.
    • Provide legal support for the Company’s corporate governance processes, including Board support and governance policies, programs, and procedures.
    • Support SEC reporting, including 10-Ks, 10-Qs, and annual proxy statement process.
    • Assist with capital markets activity, including debt and equity issuances, ATM program, revolving credit facility, commercial paper program, and other capital tools.
  • Other.
    • Support strategic investment activity across joint ventures, M&A, and other investments.
    • Review and negotiate contracts, perform legal research and due diligence, and advise Legal Department colleagues and business partners across the organization.
    • Spot and navigate legal issues while fostering strong internal relationships through a collaborative business-focused approach.
    • Manage outside counsel to achieve optimal efficiencies, outcomes, and value for the Company.
    • Other duties as assigned.

Qualifications

 

  • Juris Doctor (JD) degree from an accredited law school.
  • Must be an active member in good standing of the CA or TX bar or eligible for registered in-house counsel status.
  • 3-5 years of experience in general corporate, securities, and/or M&A law.
  • Foundational law firm training. Prior in-house experience a plus but not required.
  • Experience with REITs a plus but not required.
  • Skills:
    • Experience with joint ventures, securities, and M&A.
    • Self-starter with care and attention to detail – an ability to synthesize complex contractual provisions and deliver strategic, not just legal, advice.
    • Strong analytical and problem-solving skills.
    • Excellent written and verbal communication skills.
    • Ability to work independently and collaboratively in a fast-paced environment.
    • Proficient in managing multiple tasks and deadlines.
    • Strong interpersonal and relationship building skills with the ability to influence and counsel across all levels of the organization.
    • Proficiency in legal research tools and MS Office Suite.
    • Demonstrated ability to handle sensitive and confidential information with the utmost discretion.
