Job Description
This associate will act as advisor on legal issues, particularly relating to the review of legal agreements with clients and vendors (frequently in the technology field), with significant emphasis on relationships with strategic partners and advising and communicating with the Press Ganey business leaders who own those relationships. Responsibilities include reviewing, drafting, and the negotiation of contracts and advising internal clients throughout the organization, including those at the executive level, regarding contract-related and other legal issues, particularly focusing on strategic transactions and collaborations.
Duties and Responsibilities
Review, draft, and negotiate vendor and client contracts, as well as agreements relating to business development and corporate strategy. Includes data use and licensing agreements, consulting agreements, collaboration agreements, agreements related to mergers and acquisitions, and business associate agreements. Agreements frequently involve technology, intellectual property and data privacy issues.
Provide legal guidance on contract interpretation and other legal issues.
Work closely and proactively with other departments to gather information on business issues to ensure that agreements accurately describe business capabilities and address the legal risks associated with the company’s business relationships.
Use business and legal judgment and experience to provide advice in terms of an appropriate level of risk considering the business needs of each situation.
Supervise and consult with outside counsel.
To work #bettertogether, we operate with a hybrid working model. For those near a hub location, we gather in our office locations three days a week (Tuesday, Wednesday, Thursday). For the remaining days, we work from home.
Qualifications
Requires J.D., admission to the bar, and 5 or more years of legal experience, preferably including a combination of law firm and in-house contracts experience in the healthcare industry.
Demonstrable experience and skill with a broad range of commercial transactions and related legal issues, at approximately the level of sophistication of a senior associate or junior law firm partner who is skilled at interacting with client executives.
Ability to research, analyze, interpret, and apply government regulations, guidelines, and requirements.
Excellent business judgment, written and verbal communication, and interpersonal skills, including those required to communicate effectively with executives and opposing counsel at the general counsel or partner level. Conscientious, hard-working, and highly attentive to detail and deadlines.
Proven ability to work, often independently, in a dynamic, fast-paced environment and to adapt quickly and skillfully to changing priorities. Requires strong organizational skills and superior aptitude for prioritizing many tasks contemporaneously, and the capability to manage projects and people in order to fulfill the company’s mission and objectives.
Working knowledge of HIPAA and privacy related matters is highly preferred.

The expected base salary for this position is $127,000.00-$170,000.00 per year. It is not typical for offers to be made at or near the top of the range. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. In addition to base salary and a competitive benefits package, successful candidates are eligible to receive a discretionary bonus or commission tied to achieved results.
