Job Description

The Legal Counsel is a key member of the legal department, responsible for leading and independently negotiating agreements with customers and suppliers, as well as consulting and supporting internal stakeholders in decision making.

  • Provide legal advice on a wide range of software licensing and services agreements, corporate matters, including joint ventures, corporate governance and other business transactions.
  • Negotiating, drafting and securing various commercial agreements – with strong emphasis on software licensing and services agreements of all kinds and corporate and JV agreement.  
  • Assist in negotiating and drafting company governance agreements and ensuring alignment with applicable laws and business objectives.
  • Provide legal counsel on risk management and mitigate legal risks associated with corporate activities.
  • Work with external counsel when necessary to handle specialized legal matters.
  • Assist with the formation and structuring of corporate entities and subsidiaries.
  • Working alongside other departments within the company, and manage the contractual journey end to end.
  • Dealing with complex and unique legal multinational matters with multiple stakeholders.

Qualifications

  • At least 5 years of relevant work experience, preferably in house in a hi-tech company or a reputable law firm.
  • strong understanding of licensing, joint ventures,  corporate governance, company bylaws, shareholder agreements, and regulatory compliance.
  • Business oriented deal maker.
  • ⁠Strong analytical and problem-solving skills.
  • Self-driven and able to independently follow through tasks and projects to completion.
  • High standard of work ethics, ability to complete tasks accurately and in a timely manner.
  • Excellent verbal and written communication in English, Spanish an advantage
  • ⁠Experience working in a fast-paced, high-demanding environment.
