Job Description

This role is a key member of the Legal team, with a focus on securities issues, corporate governance matters, financing transactions, capital markets, and general corporate law.  In addition, this role will be tasked with assisting other members of the in-house legal team with projects including but not limited to due diligence, contract review and negotiations, mergers & acquisitions, real estate transactions, and employment matters. The role reports to the General Counsel, Vice President, Legal. 

 

Duties and responsibilities:

 

Primary Responsibilities

●       Have primary responsibility over the company’s securities documentation and filings, capital markets/corporate finance, and equity/debt related matters.

●       Oversee drafting of corporate actions and documentation, e.g. entity formation and dissolution, charters and bylaws, annual reports, etc.

●       Spearhead the Company’s corporate governance efforts, including oversight of board of director materials, meeting minutes and board resolutions, and board/shareholder correspondence and consents.

●       Provide legal support for ad-hoc projects for various departments, including finance, investor relations, and accounting.

●       Manage outside counsel and vendors.

Secondary Responsibilities

●       Assist other members of the legal team, with oversight from the subject matter experts, in various projects.  Examples include:

  • due diligence for acquisitions, divestitures, and other corporate transactions;
  • integration of newly acquired assets;
  • Draft, review, and negotiate various contracts, including NDAs, vendor and supply agreements, software agreements, real estate documents;
  • HR support;
  • Assist in the process for entering new markets and in drafting and editing license applications and renewals.

Qualifications

●       Demonstrated ability to dive into new areas of the law, and enthusiasm to do the same.

●       Strategic thinker.

●       Excellent verbal and written communication skills, with the ability to communicate with the board, senior leadership, outside vendors, contractual counterparties, and front-line employees.

●       Self-starter, high level of initiative, proven pro-activeness and ability to work autonomously.

●       Strong familiarity with standard legal concepts and procedures, with a high-level of subject matter expertise in primary area of responsibility.

●       Well-organized and professional, capable of meeting deadlines, and adept at managing multiple complex projects and changing priorities.

●       Strong research and analytical skills, including demonstrated experience identifying and quantifying complex problems and providing effective resolutions.

●       Availability to travel occasionally.

 

Education and Experience

●       Licensed to practice law in one of the states in which we operate.

●       This is a mid-level in-house attorney position with 4 – 6 years law firm (or equivalent in-house) experience strongly preferred.

 

Working conditions

 

The position will operate both in a professional office environment and in the field. The role routinely uses standard office equipment and will require travel for direct oversight of projects, as well as attendance of company business, as necessary.
