Job Description

As a Corporate & Securities Legal Counsel you will be responsible for providing practical and comprehensive advice to our Polish based Warsaw Stock Exchange listed companies on a range of legal and business matters, including capital markets transactions, corporate governance, securities law compliance and general corporate matters. You will also liaise with our external legal counsels in foreign jurisdictions such as US, UK and Canada.

You will work directly with the People Can Fly General Counsel as well as our Management and Supervisory Boards’ members.

  • Prepare and provide advice to our public listed companies regarding securities law, including ad-hoc and inside reporting, disclosure/compliance for Annual, SemiAnnual and Quarterly Reports, corporate governance and duties of managers, environmental, social and governance (ESG) strategies and disclosures, as well as WSE rules.
  • Assist in drafting and reviewing other public disclosures and corporate communications, including press releases.
  • Develop, prepare, implement and continually improve company/Group legal processes and procedures.
  • Observe and comply with all MAR related obligations.
  • Provide securities law advice and drafting on M&A and other strategic transactions; support all phases of deals from the securities and corporate angle.
  • Prepare and provide advice and legal drafting on company law matters.
  • Perform trainings for managers and senior Group personnel.
  • Collaborate with all management staff to identify and deliver the required legal support for the organization.
  • Other projects and duties as assigned.

Qualifications

You should bring legal smarts, business sense, and a strong work ethic. You should have the ability to operate independently and work with various teams across the organization. You should like finding solutions to complex problems and work well under pressure. Also you should have strong written, oral communication, and organizational skills.

We need a reliable and responsible person with attention to detail, ready to work hard and play hard, understanding deadlines, who likes to work in a pretty feminine team which is building from the scratch, having a great sense of humor when there is plenty to be done.

  • 6+ yrs of securities & corporate law experience (preferably in the international law firm; in-house experience may be an attitude)
  • Admitted to practice in Poland
  • Excellent English both verbal and written
