Job Description
Purpose of the Job
As a Corporate Administrator, you will provide high-quality corporate administration and company secretarial services to a portfolio of local and international clients, primarily within the insurance sector. You will play a key role in supporting client governance, maintaining regulatory compliance, managing corporate records, and delivering an excellent client experience.
Main Responsibilities
- Provide day-to-day company secretarial and corporate administration support, acting as Secretary or Assistant Secretary where required.
- Coordinate Board and Shareholder meetings, including preparing meeting materials, attending meetings, taking minutes, and maintaining statutory records.
- Manage corporate actions and changes, including amendments to constitutional documents, share capital changes, changes of name, and updates to directors and officers.
- Ensure all regulatory and statutory filings are completed accurately and within required deadlines, including annual returns, economic substance filings, beneficial ownership filings, and government fee payments.
- Maintain accurate corporate records and client information, ensuring all updates are recorded within internal systems.
- Support the incorporation and ongoing administration of Bermuda companies and partnerships, including bank account openings and maintenance of statutory registers and records.
- Conduct periodic client reviews to ensure KYC documentation remains current and compliant with Bermuda regulatory requirements.
- Assist with invoicing, billing administration, and accurate time recording.
- Build and maintain strong relationships with clients, regulators, and internal stakeholders while delivering a high standard of client service.
- Support additional projects and undertake other duties as required.

Qualifications
- Degree or equivalent qualification in Business, Law, Finance, Accounting, or another relevant discipline, or an equivalent combination of education and experience.
- Approximately 5 years' experience in corporate administration, company secretarial services, or a related corporate services environment.
- Professional qualification or membership with The Chartered Governance Institute (CGI), such as ACG/FCG (formerly ACIS/FCIS), is desirable.
Knowledge, Skills and Experience
- Good working knowledge of the Companies Act 1981 and the administration of Bermuda companies.
- Knowledge of Bermuda regulatory requirements, including the Insurance Act, Economic Substance requirements, and Beneficial Ownership regulations, would be advantageous.
- Experience working with insurance companies and/or other regulated entities is an asset.
- Strong understanding of corporate governance, regulatory filings, company secretarial practices, and corporate record management.
- Proven problem-solving skills, with the ability to manage multiple priorities and meet deadlines in a fast-paced environment.
- Strong client relationship management skills with a commitment to delivering exceptional service.
- Excellent organisational, communication, and interpersonal skills.
- Proficiency in Microsoft Office applications, particularly Word; experience with Viewpoint and NavOne would be advantageous.
- Ability to work independently while collaborating effectively with colleagues and stakeholders.
