Job Description

Role Overview 

Ocorian is seeking an experienced and dynamic Non-Executive Director (NED) to join our Private Client Board in Guernsey.  This is an exciting opportunity for a strategic thinker with a strong understanding of fiduciary services, corporate governance, and regulatory compliance.  The NED will provide independent oversight, strategic guidance, and governance support, ensuring Ocorian adheres to Guernsey Financial Services Commission (GFSC) regulations, the Fiduciary Rules and Guidance, and best industry practices.   

The ideal candidate will bring a wealth of board-level experience, a collaborative approach, and a strong commitment to maintaining the highest standards of corporate governance.  

Commitment 

Our Non-Executive Director is expected to embody our core values, which underpin everything we do: 

  • Attendance at quarterly Board meetings and any additional sub-committee meetings as required.  
  • Expected time commitment: 30 days per year. 
  • Competitive remuneration in line with Guernsey market standards.  

Main Responsibilities

Board Leadership & Strategic Oversight 

  • Attend Board and sub-committee meetings, actively contributing to discussions and decision-making.  
  • Provide independent advice and constructive challenge to the Board and senior leadership team.  
  • Contribute to the development and execution of Ocorian’s strategic objectives, ensuring alignment with client needs and market trends.  
  • Establish and maintain strong relationships with fellow Board members, offering support and guidance to the executive leadership team.  

Governance & Risk Management 

  • Ensure Ocorian maintains a strong governance framework in compliance with Guernsey fiduciary regulations, AML/CFT obligations, and corporate governance standards. 
  • Oversee Ocorian’ s risk management frameworks, ensuring robust internal controls, financial oversight, and operational resilience.  
  • Ensure an annual Board Effectiveness Review is conducted, identifying areas for improvement and strengthening overall board performance.  
  • Review Ocorian functions and service lines, recommending areas for improvement and development.  

Fiduciary & Regulatory Compliance 

  • Ensure adherence to the GFSC Fiduciary Rules, the Handbook on Countering Financial Crime and Terrorist Financing, and other relevant regulatory requirements.  
  • Provide oversight on conflicts of interest, confidentiality, and client asset protection.  
  • Maintain up-to-date knowledge of regulatory changes and industry trends, advising on potential business impacts.  
  • Support Ocorian in maintaining effective relationships with clients, intermediaries, and regulatory bodies.  

Financial & Operational Oversight 

  • Review financial performance, budgets, and forecasts to ensure sustainable and profitable growth.  
  • Challenge executive decisions regarding investment risk, and operational efficiencies.  
  • Assess the impact of market conditions, regulatory changes, and economic trends on the business model.  

Stakeholder & Client Engagement 

  • Ensure Ocorian upholds its reputation for client service excellence, ethical conduct, and trust.  
  • Support Ocorian in maintaining and strengthening key relationships with clients, intermediaries, and regulators.  
  • Act as an ambassador for Ocorian, promoting our values, services, and market position within Guernsey fiduciary and private client sector.  

Qualifications

Knowledge, Skills & Experience

  • Previous experience as a Non-Executive Director or in a senior leadership role with the fiduciary, private client, or financial services sector.  
  • Strong understanding of corporate governance, fiduciary regulations, and risk management frameworks.  
  • Proven track record of strategic thinking and the ability to influence at Board level.  
  • High ethical standards and the ability to maintain independence and objectivity in decision – making.  
  • Excellence communication and interpersonal skills with the ability to build strong relationships and work collaboratively with internal and external stakeholders.  
  • Familiarity with the Guernsey fiduciary and regulatory landscape including GFSC requirements.  
  • A strong network within the financial service industry is advantageous.  
  • Knowledge of corporate governance, or regulatory and compliance frameworks beyond fiduciary services.  
  • Experience in digital transformation or regulatory technology (RegTech) in the fiduciary sector.  
  • Board experience within an international fiduciary or financial services group.
