Job Description

The Company Secretary (CS) India and Corporate Governance APAC Lead is a key role that will be responsible for ensuring that the NIQ companies in India and APAC? comply with statutory and regulatory requirements and maintain high standards of corporate governance. Acting as a bridge between the board of directors, shareholders, regulators, and other stakeholders, the CS plays a strategic role in legal advisory, compliance management, and board administration.

The role also provides essential support to the Corporate Legal Department, focusing on corporate governance, legal entity management, regulatory compliance, and documentation across APAC jurisdictions. This role ensures operational and regulatory alignment across subsidiaries and legal entities. All responsibilities are carried out in close collaboration with local finance and legal teams.

Key Responsibilities Company Secretary India:

Legal & Regulatory Compliance

  • Ensure compliance with the Companies Act, 2013, SEBI regulations and rules, FEMA, and other applicable laws.
  • File statutory returns and maintain statutory registers and records.
  • Prepare and submit e-forms to the Registrar of Companies (RoC).

Board & Shareholder Meeting Management

  • Schedule and organize board meetings, AGMs, and EGMs.
  • Draft agendas, minutes, resolutions, and notices.
  • Ensure proper documentation and record-keeping of meetings.

Corporate Governance

  • Advise the board on governance best practices.
  • Monitor changes in relevant legislation and regulatory environment.
  • Prepare and maintain governance or other documentation, etc. as per legal requirements.

Stakeholder Communication

  • Keep local stakeholders apprised of legal requirements impacting governance or secretarial requirements.
  • Liaise with shareholders, directors, external advisors, auditors, regulators, and government authorities.
  • Manage shareholder communications and disclosures.
  • Handle changes in share capital and applicable legal requirements..

Policy & Risk Management

  • Develop,  monitor and update internal policies to align with legal standards.
  • Assist in risk mitigation strategies and legal advisory.

Skills Required:

  • Strong knowledge of corporate law and governance.
  • Ability to communicate effectively and simplify complex requirements to stakeholders.
  • Strong collaborative skills, communication and interpersonal skills..
  • Attention to detail with strong organizational capabilities.
  • Proficiency in legal documentation with an interest to adapt and implement compliance tools.

Key Responsibilities Corporate Legal Governance APAC:

Corporate Governance Support

  • Draft and maintain minutes for Board, AGM, and Executive Management Committee meetings.
  • Prepare and file notifications related to director changes and other statutory updates.
  • Assist in implementing and monitoring governance frameworks.

Legal Entity Management

  • Coordinate subsidiary board meetings and maintain corporate records (e.g., bylaws, articles, stock registers, register extracts).
  • Support formation, registration, and dissolution of legal entities across APAC.
  • Ensure integrity of legal entity data in governance systems.

Regulatory & Compliance Monitoring

  • Track and process licensing requirements for APAC entities.
  • Support KYC, AML and similar assessments.
  • Monitor and report on regulatory developments.

Documentation & Systems Management

  • Maintain governance documentation in systems and record repositories.
  • Provide legal research and analysis to support APAC legal initiatives.
  • Liaise with internal teams, external counsel, and regulators as needed.

Qualifications & Eligibility:

Mandatory

  • Bachelor´s degree in Law.
  • Qualified Company Secretary (ACS) and Member of the Institute of Company Secretaries of India (ICSI).
  • Minimum 5 years of experience as company secretary or a similar role in corporate governance
  • Experience with legal entity management within APAC.
  • Additional certifications in corporate law or governance.
