NielsenIQ seeks a highly collaborative and strategic technology/product oriented lawyer to join our Legal Department.  The attorney will primarily support the Technology and Operations organization, Product and Procurement Teams and will focus on drafting and negotiating technology transactions and services agreements as well as providing product and general legal support. The position will report to the General Counsel – Technology, Operations & Privacy.

Location: Remote initially with preferred candidate location in the New York, Boston or Chicago area.

Responsibilities include:

●      Review, markup, draft, negotiate and close commercial contracts, including master services agreements, statements of work, licenses, technology and professional services agreements, cloud and SAAS, IAAS, PAAS agreements, data licenses, leasing and financing agreements, among others

●      Support Technology and Procurement teams in commercial contracting matters.

●      Provide Product teams with excellent legal advice and support for the product development and launch process (including collaborating cross-functionally with Privacy, Intellectual Property and Commercial Legal colleagues)

●      Provide rapid, practical, business-oriented legal/commercial contract advice to team members and directly to business clients

●      Support business clients and sourcing in negotiating price, deliverables, services scope, service levels, warranty and other commercial terms

●      Create templates, assist in policy, process and procedures design

●      Support business in all legal matters that arise from time to time, including compliance, dispute resolution, and litigation/investigation support

Skills:

●      Ability to draft, negotiate and close complex technology transactions with a focus on Cloud Agreements such as SAAS, PAAS, and IAAS platforms

●      Ability to advise clients on the launch and marketing of software products and/or operation of Cloud services

●      Strong project management and negotiation skills, including ability to  encourage, motivate and influence at all levels of the organization to work effectively within a globally distributed team and a fast-paced business environment

●      Effective communication in person, in groups, over video and teleconference, over email and in more formal documentation

●      Collaborative, resourceful, results and solution oriented, “roll up your sleeves” attorney

●      Demonstrated ability to think and decide confidently and quickly

●      Excellent written and oral communication skills, including drafting and communicating legal issues and solutions in a clear and concise manner

●      Knowledge and experience  with data privacy and data security laws and best practices

●      Juris Doctor and a member in good standing of the bar in state of practice or able to obtain Authorized House Counsel status or its equivalent

●      4 to 7 years of technology, product and contract transactional experience including law firm and significant in-house legal experience (experience in technology, data or market research industries preferred).

●      Experience working with sourcing/procurement organizations

●      Some travel as requested (5%)
