Job Description

The Senior Manager of SEC Reporting and Technical Accounting has high ethical standards of integrity and quality. They are responsible for the preparation, review and filing of all SEC filings, including Forms 10-K, 10-Q, 8-K, proxy and other periodic filings as an integral component of this position. This individual takes responsibility for the design, testing and performance of the associated controls related to the SEC reporting and technical accounting processes. They will coordinate with both internal audit and our external auditors for SOX 404 (b) ICFR and financial statement audits and is a point of contact for the Company’s stock option and long-term incentive plans.

Primary Responsibilities

  • Responsible for the management and preparation of Aurinia’s SEC financial statements (periodic reports on Form 10-K, 10-Q) and other SEC and Canadian filings (Form 4s and 8-Ks, Section 16 filings, Proxy Statements) in compliance with GAAP and SEC rules.
  • Plans and coordinates external financial reporting requirements and timeline with key stakeholders (such as Legal, Commercial external audit, etc.)
  • Prepares the financial statements and drafts management’s discussion and analysis (MDA), including all disclosures.
  • Reviews XBRL tagging Reviews financial statement supporting documentation.
  • Prepares ad-hoc financial analysis, as required.
  • Prepares financial statement disclosure checklist.
  • Assists in the preparation of quarterly deliverables for the Disclosure and Audit Committees.
  • Advisor for senior management’s compliance for required GAAP, US SEC, EU, and other regulatory filings.
  • Provides technical accounting research and analysis; Researches accounting literature and applies technical standards and analysis of complex or non-recurring transactions. Creates and refines accounting memos to support the Company’s conclusions as appropriate.
  • Oversees the review and interpretation of new and proposed accounting regulations. Monitors and assists in evaluating FASB/SEC/PCAOB reporting developments. Supports accounting initiatives, including financial reporting and disclosure implementation of new standards, as they are released and become effective.
  • Supports and facilitates the administration of the Workiva (wDesk) software.
  • Monitors peer group filings to identify industry trends and best practices for disclosures.
  • Assist with the preparation of the earning press release.
  • Responsible for various close activities, including accounting for stock-based compensation and preparing the quarterly and year-to-date earnings per share calculations.
  • Reconciles all equity accounts, including common stock, additional paid in capital accounts, other comprehensive income, and retained earnings accounts.
  • Performs administrative duties relating to the Company’s stock option and long-term incentive plans: e.g., processing of stock option exercises and responding to employee’s questions about these programs. Prepares 6039 IRS reports for options.
  • Coordinates pre-close preparation calls and monthly close calls with HR, legal and stockbrokers. Monitors key areas to be addressed as a result of the discussions held in these calls.
  • Manages relationship and coordinates with third-party service providers e.g., equity brokers, stock registrar.
  • Works with other teams to develop/improve schedules and reports, to address analytical and reporting needs.
  • Team lead for compliance with Sarbanes Oxley 404(b) (SOX) for controls over financial reporting, including financial statement review, disclosure and equity.
  • Drafts internal controls, policies, and procedures and maintains a consistent process with effective controls. Assesses related procedures for internal control/SOX considerations.
  • Actively interfaces with members of the internal and external audit teams.
  • Manages, leads/assists on various cross-functional teams, including projects on process improvement and standardization.

Qualifications

  • Bachelor’s in accounting, finance or business-related field required.
  • CPA required.
  • 8+ years minimum relevant experience with 6+ year progressive accounting/auditing and SEC financial reporting experience for a large public company (market cap of $700M+.)
  • Biotech/ pharmaceutical and/or Big 4 accounting experience preferred.
  • Prior experience designing, implementing, and documenting policies and procedures in a SOX Environment.
  • Strong communication skills (written and oral) and a demonstrated ability to work effectively across functions.
  • Strong analytical, organizational, and time management skills.
  • Must be able to represent and model integrity within the organization. Must possess and maintain the highest degree of security and confidentiality of information.
  • Experience with Workiva software (wDesk) preferred.
  • Knowledge of Microsoft Office, particularly Word and Excel required. Self-starter with a proven ability to work with minimal supervision.
