Our client, an Indigenous Marine Logistics Service Company that provides safe and professional services to both international and local oil companies, is seeking a competent Legal Counsel/Document Controller.

Job Description

JOB FOCUS:

1. To support the coordination of legal activities and functions, working with third-party law firms and company secretaries to ensure the company’s legal position is developed and maintained. The role would also significantly involve contracts-related matters of the company and cover new legislation and regulatory requirements that impact on the company activities.

.2. To implement and administer enterprise-wide document management systems and related procedures that allow the company to capture, store, retrieve, share, and destroy electronic records and documents.

JOB DUTIES AND RESPONSIBILITIES

Legal Duties:

1. Liaising with all the subsidiaries within the company’s group, service providers, external legal retainers, and government agencies working with the company secretary

2. Develop and review all existing legal agreements and contracts

3. Review all standing MOU/ agreements and third-party retainership, with NIMASA and associated agencies relevant to our business.

4. Statutory compliance on government duties, social rights (NSITF, PENSIONS), Company and Allied Matters Act, etc.

5. Prepare and file statutory returns and other miscellaneous filings at the CAC in liaison with the company’s secretary.

6. Negotiating and drafting the terms in contracts, MOUs, MOAs, etc, in all business contracts and agreements.

7. Stay abreast of all new legislation and anticipate unique legal issues that could impact the company from them.

8. Responsible for producing legal support in controlling clients’ complaints to mitigate the risk of litigation

9. Review all documentation that has legal implications for the company prior to signing and implementing. (Initiate schedule to audit all agreements on a regular basis highlighting to management any legal risks involved)

10. Attend and take minutes of board meetings, board committee, and shareholders meetings, and follow through with resolutions and matters arising from board/shareholders meetings.

11. Handle vessel compliance matters and statutory requirements, Track compliance due dates to ensure certificates are renewed promptly.

12. Coordinate and moderate meetings (physical and virtual) and follow through on action points

13. Perform other duties as assigned by the MD/CEO.

Documents Control Duties:

1. Setup the Electronic Data Management System to also include acceptable document lifecycle procedures

2. Track and distribute controlled documents, using the document control procedures, format, and distribution schedule.

3. Familiarizing all staff with Companywide Document Control processes.

4. Maintain an electronic indexing and data room of all companywide documents for easy retrieval/ location.

5. Ensure correct procures format/template, number, and revision are being used.

6. Ensure that numbering and revision status is being used on all documentation, drawings, and correspondence.

7. Using reports to advise Management on monthly the status of documents that may be obsolete or require archiving.

8. Working with ICT, support in administering the information exchange protocol, EDMS repository structure, tools, and access definitions

9. Coordinate and administer the distribution of all incoming and outgoing documentation and paperwork to ensure controlled delivery to the person(s) responsible.

10. Establish and maintain various files developed for projects.

11. File and maintain documents in the permanent document archive

12. Prepares document searches as requested by authorized personnel.

13. Carry out any other task assigned

Qualifications

REQUIREMENTS:

• Abreast with relevant laws

• Stay up to date with changes in the legal framework

• Ability to interpret relevant laws and communicate same to management • Digital Savviness

• Knowledge of maritime/cabotage law

• Legal risk management

• Maritime Contract Management

• Managing litigation on employee injury and claims

• Secretarial engagement for the board and senior management

• Legal advisory on business and maritime issues

• Exhibit high level confidentiality at all times • Knowledge of Electronic Document Management Systems (EDMS)

QUALIFICATIONS & EXPERIENCE

• University degree in Law

• Relevant professional qualifications.

• 3-5 years cognate work experience in any legal support role or other related areas.

• Knowledge of accounting principles, practices, and procedures

• Appreciable knowledge of fundamental principles of risk management
