Today, they are renowned marine-support service provider, specializing in providing security/surveillance vessels. They require Human Resource Manager . 

Job Description

Assist in providing prompt and relevant advisory services to management on legal and compliance matters including advice on new developments in the legal environment which may affect the company's interests, operations and conduct.

This position will support the Manager, Corporate Services on legal, regulatory and compliance matters as may be applicable to the business and managing the legal aspect of client relationships.

  • He / She must possess high level of expertise in supporting the Manager, Corporate Services in their delivery of legal services to clients in areas such as Corporate Secretarial, Administrative, Governance and Regulatory, Legal Advice, Corporate Documents, including, but not limited to Company Law, Client relationship service etc.
  • Demonstrates highly effective and strong stakeholder management and organisation skills.
  • Displays high level intelligence in business and client management portfolio. He / She can recognise and evaluate relevant facts and legal concepts.
  • Must possess interpersonal skills including but not limited to resolving conflicts, negotiating, and relating well with various types of clients.
  • Must have good secretarial skills and an ability to understand and manage complex legal entity documentation.
  • Good reporting skills and absolute command of Microsoft Office applications.

JOB DUTIES AND RESPONSIBILITIES

The Corporate Services/Legal Officer is required to:

  • Assist the Manager, Corporate Services on monthly updates, special projects and confidential time sensitive material.
  • Assist in developing corporate policies and guidelines to enhance business opportunities.
  • Assist in planning, developing, implementing and management of key business issues and protocols.
  • Ensure compliance with statutory and legal requirements including maintenance / update of a compliance calendar and ensuring legal and regulatory returns are submitted when due.
  • Ensure contracts are in place for all business relationships and negotiate, draft and review all contracts / complex commercial agreements, evaluating business risks and make recommendations to management on how to prevent / mitigate such risks and develop a Contracts database for the company.
  • Establish and maintain an organized filing system for the proper filing and easy retrieval of all legal documents - title documents, agreements, certificates, letters etc.
  • Manage relationships with the company's external solicitors and provide oversight for all outsourced legal and secretarial services, oversee, and advance the company's position in negotiated settlements with external parties and follow up on any litigations.
  • Provide legal support and promote Corporate ethics and compliance and train all employees on the company's policies and processes.
  • Provide oversight on ensuring prompt settlement of rents, rates and land charges as well as government revenue demands such as property tenement rates, ground rents, business premises permit etc.
  • Safeguard the Company's legal and corporate records by ensuring centralised filing and effective archive management.
  • Assists management and end users in the development, writing, and updating of policies, procedures and guidelines.
  • Complies with federal, state, and local legal requirements by studying existing and new legislation; anticipating legislation; enforcing adherence to requirements; advising management on needed actions
  • Carry out such other duties as may be assigned from time to time by the Manager, Corporate Services or Management.

Qualifications

  • LLB Degree in Law or relevant University degree in Business Administration, Public Administration, Public Relation or Communication
  • Relevant professional qualification such as Institute of Chartered Secretaries & Administrators, Chartered Institute of Arbitrators etc. is an added advantage.
  • 2-4 years cognate work experience in a law firm or as secretarial/ administrative support, and at least 1 year of highly participatory generalist role in a reputable and structured business environment.
  • Ability to listen, negotiate and influence all categories of people and act calmly and reasonably even under pressure

  • Proficiency in the use of Enterprise-Wide software.
