Job Title: Legal and Compliance Manager

Job Summary
The Legal/Compliance Manager in consultation with the Head of Legal/Company Secretary will collaborate with management to devise efficient defence strategies to specific internal and external governance policies and regularly monitor compliance and give accurate and timely counsel to executives on a variety of legal matters.
Job Description
- The Legal/Compliance Manager will work closely with the Head of Legal/Company Secretary on the following:
- Managing relationships and all issues relating to the Board of Directors and Shareholders, including convening Board, Committee and General Meetings.
- Ensuring compliance by the Company with best Corporate Governance Practices including risk identification and mitigation.
- Filing of Statutory Returns
- Provide efficient, effective legal support services and ensuring compliance by the Company with laws governing its operations
- Render all regulatory secretarial returns
- Proper maintenance of books and registers of the company as required under the provisions of the Companies Law.
- Advise management on the company’s compliance with laws and regulations through detailed reports.
- Create and manage effective action plans in response to audit discoveries and compliance violations.
- Ensure all employees are educated on the latest regulations and processes.
- Ensure that all regulatory reports are submitted before deadline date.
- Maintain a professionally healthy relationship with regulatory bodies such as NAICOM, NFIU/EFCC, NSE, SEC etc.
- Ensure the company does not incur any penalty because of regulatory infractions.
- Coordinate quarterly AML-CFT training and educate employees on regulatory requirement and infraction penalties.
- Assist the Company Secretary/Legal Adviser in the preparation and review of legal opinions and agreements
- Participate in Commercial negotiations and transactions involving the company
- Liaise with external solicitors and obtains regular updates on ongoing litigations
Qualifications
Academic Qualification.
- A good first degree in law - Essential
- LLM - Added Advantage
Professional Qualification
- BL - Essential
- ACIS - Added advantage
- Years of experience - 10 years gained in a law firm and in-house role in a financial institution
Additional Information
- Must have high ethical standard
- Strong knowledge of Commercial/Company Law, Company Secretarial Practices, Compliance and General Litigation
- Policy Development, Regulatory Compliance, Contract Negotiations Skills
- Good Drafting Skills
- Good Communication Skills, Leadership and Management Skills
- Knowledge of insurance regulations will be an added advantage.
- Must be good with Microsoft office work tools
