Job Description
We’re looking for an experienced and proactive Assistant Company Secretary to join our Legal & Governance team. In this key role, you’ll support a range of subsidiary boards and governance forums, working closely with senior stakeholders to uphold strong governance standards. You’ll also contribute to major Group projects, including the Annual Report and AGM, helping ensure we meet our statutory, regulatory and corporate governance obligations.
What you’ll be doing:
- Acting as secretary to subsidiary boards and committees, building strong and positive relationships with Directors and senior leaders
- Preparing, coordinating and distributing high‑quality board and committee materials in a timely and accurate manner
- Attending meetings and producing clear, well‑structured minutes that capture key decisions and actions
- Maintaining statutory records and ensuring all filings and disclosures are completed accurately and on time
- Providing tailored governance advice to senior management and board members
- Supporting Group‑wide governance initiatives including the AGM, Annual Report and wider governance improvement projects
- Managing director appointments, inductions, site visits and governance processes linked to year‑end activity
- Sharing knowledge and supporting the development of Company Secretarial Assistants within the team
Who we’re looking for:
- Deeply experienced professional, ideally with exposure to FTSE 100–listed environments
- Fully qualified Company Secretary (e.g. CGI/ICSA) with a minimum of three years’ relevant experience
- Proven experience acting as Secretary to a Board and/or Committees
- Strong background in financial services or asset management (highly desirable)
- Excellent organisational capability with exceptional attention to detail
- Demonstrated ability to build collaborative relationships and communicate confidently with senior stakeholders
- Strong understanding of the Companies Act 2006, UK Corporate Governance Code, and relevant FCA regulations
