Job Description

Primary Function of Position

The Sr M&A Integration Manager reports to the Director, M&A Integrations and partners with Business Development, Finance, and functional teams to lead multiple transactions concurrently across the full deal lifecycle. The role leads cross-functional diligence planning and integration program management from pre-signing through close, Day 1, stabilization, and transition to the long-term business owner. Working with functional diligence leads, this person helps develop the integration strategy and milestones, consolidates integration costs, anticipates dependencies, drives execution, and provides clear recommendations to senior leadership.

Roles and Responsibilities

  • Lead cross-functional diligence across Finance, Tax, Legal, HR, Regulatory, Quality, Sales & Marketing, Service, Product, Engineering/R&D, Operations, Supply Chain, IT, Security, and other relevant functions.
  • Use the transaction rationale to build a diligence plan with clear workstreams, questions, owners, deliverables, dependencies, and decision dates.
  • Establish diligence governance and cadence; ensure functional teams have the information, access, and direction needed to complete timely, decision-quality assessments.
  • Coordinate management meetings, seller interactions, functional deep dives, data requests, and follow-ups with deal leaders and functional diligence leads. Prepare functional leads for seller engagement while preserving their ownership of functional conclusions.
  • Guide functional leads, individually and collectively, to synthesize findings into an integrated view of risks, opportunities, cost, timing, resources, readiness, and integration complexity.
  • Help functional leads develop the integration strategy, key milestones, and coordinated outputs that inform the deal model, purchase agreement, closing conditions, Day 1 requirements, integration roadmap, and long-term operating model.
  • Build and maintain integrated plans spanning pre-close, close readiness, Day 1, cutover, stabilization, hypercare, longer-term integration, and transition to business ownership, with clear owners, milestones, dependencies, resources, and decisions.
  • Lead integration cost estimation by coordinating functional inputs, reconciling assumptions, dependencies, and timing, and consolidating one-time and ongoing costs for deal and leadership decisions.
  • Develop TSA scope, SLAs, schedules, and cost estimates based on the integration strategy and coordinated input from cross-functional teams.
  • Partner with Legal to translate business, operational, and transaction requirements into purchase agreement terms and closing conditions and related deal documents.
  • Partner with IT and functional teams to plan and execute systems integration, testing, data and process cutovers, access, business continuity, and hypercare; align technology milestones with business requirements.
  • Coordinate with change-management and functional teams on organizational readiness, employee communications, Day 1, cutover, stabilization, and hypercare to support the employee experience.
  • Lead multiple transactions concurrently at different lifecycle stages. Maintain visibility to milestones, risks, capacity, decisions, and cross-deal dependencies; recommend sequencing, resource allocation, and escalation when conflicts arise.
  • Drive owners to complete deliverables and decisions and hold stakeholders accountable without formal authority.
  • Manage risks, issues, assumptions, dependencies, and decisions. Identify slippage early, assess downstream effects, establish recovery plans, and escalate with a clear recommendation.
  • Validate close-critical and Day 1 readiness. Transition ownership to business and functional leaders with clear accountabilities, open items, measures, and governance.
  • Prepare concise, decision-oriented materials and present findings, readiness, risks, tradeoffs, options, and recommendations to executive sponsors, steering committees, and senior functional leaders.
  • Build trusted relationships with sellers and acquired-company leaders while representing Intuitive requirements, protecting confidentiality, and maintaining transaction discipline.
  • Support continuous improvement of Intuitive’s M&A diligence and integration playbooks, toolkit, templates, decision frameworks, governance, and operating rhythms. Convert retrospectives and lessons learned into practical improvements.
  • Guide functional workstream leads and colleagues in effective diligence and integration practices. Use approved AI and productivity tools to improve planning, synthesis, reporting, and portfolio visibility while protecting confidential information.

Qualifications

Required Skills and Experience

  • Minimum of 12 years of related experience
  • Deep understanding of the M&A lifecycle, including transaction evaluation, diligence, signing, close preparation, Day 1, stabilization, post-close execution, and transition to business ownership.
  • Significant experience leading cross-functional M&A diligence and integration, rather than participating solely as a functional contributor.
  • Substantial experience leading buy-side M&A diligence and integrations in complex, global, or highly regulated environments.
  • Proven ability to coordinate multidisciplinary teams and connect business, financial, legal, technical, operational, people, regulatory, and quality findings into an integrated point of view.
  • Experience supporting transaction-structure decisions, transition service agreements, current- and future-state operating models, and value-realization tracking.
  • Experience working directly with target-company leadership, executive sponsors, and senior internal stakeholders.
  • Strong dependency, critical-path, and portfolio-management judgment, including prioritization across competing deals and functional capacity constraints.
  • Ability to create structure in ambiguity, make progress with incomplete information, and determine when to use a standard approach, adapt it, or escalate.
  • Strong analytical and problem-solving skills, with a record of recovering slipping plans, resolving cross-functional impasses, accelerating decisions, and driving deliverables to completion.
  • Exceptional communication skills and executive presence, with the ability to drive decisions at all levels by simplifying complex issues, clarifying tradeoffs and implications, and making credible recommendations.
  • Strong facilitation, negotiation, diplomacy, and influence skills; ability to align stakeholders and drive outcomes without direct authority.
  • Discretion and sound judgment when handling confidential transaction information.
  • Must be comfortable using approved AI tools to improve workflows across deal lifecycle and personal productivity while protecting confidential information.
  • Ability to travel up to 25% domestically and internationally based on transaction needs.
  • Comfort working across global time zones and cultures, with flexibility to support transaction timelines and geographically distributed stakeholders.
  • This role requires working onsite in our Sunnyvale, CA office Tuesday, Wednesday, and Thursday every week.

Required Education and Training

  • Bachelor’s degree in business, finance, engineering, operations, life sciences, or a related field, or equivalent relevant experience.

Preferred Skills and Experience

  • MBA or other relevant advanced degree.
  • Experience in medical technology, healthcare, life sciences, diagnostics, or another regulated technology industry.
  • Cross-border transaction experience and understanding of the legal, employment, regulatory, tax, trade, quality, technology, commercial, and operational factors that shape deals
  • Experience supporting software, SaaS, or technology-enabled acquisitions by enabling the back-office capabilities needed to support product teams, including cybersecurity, licensing, systems, and related operational requirements.
  • Experience improving diligence frameworks, integration playbooks, governance, executive reporting, or reusable tools.
  • Demonstrated outcomes such as improved readiness, risk mitigation, faster decisions, operational continuity, talent retention, fulfillment of closing requirements, or achievement of integration objectives.
  • Prior M&A consulting experience or experience on a corporate M&A team.
  • Demonstrated success leading multiple active acquisitions concurrently at different lifecycle stages, anticipating downstream needs and planning accordingly.
