Job Description

Serve as legal counsel on the North America Government Medical Services legal team. The legal counsel shall help the company minimize its legal risks by advising the commercial, operational and support services teams on any major legal and regulatory issues. Provide legal support at the direction of the General Counsel, North America Government Services for commercial, compliance, corporate governance and vendor transactions including contract review:collaborating with the contracts and compliance team to review government contracts and teaming agreements; manage and negotiating vendor contracts and strategic partnership agreements. Assist in managing the contract lifecycle management system. Provide legal support for mergers and acquisitions,manage litigation and compliance, advise on employment and real estate matters. Manage outside counsel for employment and commercial litigation matters, merger and acquisition related due diligence and other related responsibilities. Assisting with ongoing compliance, supporting corporate governance, legal research and other related responsibilities.

Qualifications

Key Responsibilities:

  • Negotiate vendor agreements, efficiently manage of litigation, compliance, governance,
  • procurement, strategic alliances, mergers and acquisitions.
  • Oversee drafting and negotiation of bid protests when appropriate, review terms for RFP and
  • tenders, manage escalations of commercial terms in collaboration with the contracts team for
  • approval by North America Government Medical Services management.
  • Develop and write implementation and compliance guidelines, create and deliver training modules
  • on negotiation, anticorruption, litigation risk mitigation and workplace conduct.
  • Review subpoenas, bankruptcy notices and advise operations on management of complaint
  • cases.
  • Create training and compliance processes in response to federal acquisition requirements.
  •  Develop supportive relationships and manage expectations of key internal and external
  • (customer) stakeholders, including guidance on corporate policies & guidelines.
  • Appoint and oversee external counsel for litigation.
  • Draft merger and acquisition related sale and purchase agreements, employment and transition
  • agreements, conduct due diligence and participate in integration of new entities.
  • Assistance in preparation of required management reporting as required.
  • Oversee vendor diligence in support of departmental partner/vendor contract execution.
  • Support corporate governance and record keeping.
  • Develop close working relationships with customer representatives, suppliers, partners, landlords
  • and appointed legal counsels where necessary.

Required Skills and Knowledge

  • Business acumen and experience, ability to recommend efficient and effective risk mitigation
  • strategies to enable business.
  • Ability to influence stakeholders to comply with competing commercial processes.
  • Negotiation experience with high volume commercial transactions, vendors, mergers and
  • acquisitions and settlements.
  • Familiarity with government contracting, including prior experience with the U.S. Federal
  • Acquisition Regulations (FAR);
  • Contract writing and procurement skills (including negotiation).
  • Knowledge of U.S. data privacy and information security laws and regulations.
  • High level of PC literacy (especially Microsoft Office suite), business writing and verbal
  • communication skills
  • Commercial acumen, knowledge of commercial contracts law and payment card industry data
  • security standards compliance.
  • Experience in a multinational corporate group counseling on international commercial and
  • compliance matters.
  • Conceptual and process thinking, decision making, attention to detail, ability to evaluate options,
  • and learn new commercial processes.
  • Relationship skills with external and internal clients.
  • Experience counselling non-lawyers on complex legal issues in a fast-paced environment.
  • Practical and proactive problem-solver who possesses strong business acumen and is confident,
  • mature and calm under fire.

Required Work Experience

  • At least 10 years’ experience practicing law.
  • Required Qualifications
  • Juris Doctor licensed to practice in at least one US State. Legal qualifications and in-house legal
  • or law firm experience is an advantage.

Additional Information

Pay range is based on several factors and may vary in addition to a full range of medical, financial, and/or other benefits. Final salary and offer will be determined by the applicant’s background, experience, skills, internal equity, and alignment with geographical market data.

Compensation|  Min: $96hr        Max: $106hr
