Job Description
As the Legal Counsel M&A in Sri Lanka, you will work closely with and provide support to the Senior Corporate Legal Counsel M&A based in Stockholm, Sweden, by assisting on global M&A and post-acquisition activities. You will be a key member of IFS Legal team, in which you will be primarily responsible for providing legal support relating to mergers & acquisitions (M&A) – such as deal structures, contract review and negotiations, due diligence, post-acquisition integration, internal corporate restructuring, and corporate management. You will have a coordinating and cross-functional role, if required working together with key internal stakeholders such as Finance, Tax, HR, Sales, Corporate IT, etc as well as external stakeholders.
Duties & responsibilities:
Provide accurate and timely support to IFS Senior M&A Counsel with integrity and responsibility in a variety of M&A related legal topics e.g. but not limited to:
Support regarding NDAs, offer letters / LOIs, deal structures, ancillaries and aligning contractual terms with applicable IFS corporate contract standards.
Review of key commercial agreements (customer, partners, vendors) during the due diligence phase of an acquisition.
Corporate restructuring during the integration phase post-acquisition.
Develop corporate governance processes and monitoring and keeping track of risks.
Corporate housekeeping.
Understanding the objectives in a deal and ensure a coherent approach to these goals.
Coordinate with outside counsel and cross-functional alignment as necessary during the integration phase.
Happy to dive into other ad-hoc corporate tasks and projects as needed with priority to M&A.
Keep up to date with changes in applicable local and international law and regulation which have a direct impact on M&A activities and maintain a deep industry knowledge.
Keep pace with information technology and AI trends and developments, in the marketplace as well as regulatory.
Support in creating and compiling M&A playbooks, templates and other standard documents around legal processes, and keeping these up to date.
Qualifications
Competencies:
A bachelor's degree in law (Sri Lanka or UK), and LL.M. (UK, international).
5+ years' experience as a lawyer in a local law firm, or other international experience or similar in-house role pertaining to M&A, corporate/commercial or within the technology industry.
A solid understanding of, and proven experience of corporate and commercial contract review and presentation of key findings and red flags which is essential during the due diligence phase of M&A.
An analytical mindset and proven experience in delivering on complex commercial and corporate legal matters.
A “roll-up your sleeves” attitude - no project is too big or small for you.
Essential skills/experience:
Professional fluency and excellent communication skills in English.
Fluency in using standard Microsoft tools.
Excellent analytical, presentation, planning, and time-management skills.
Ability and confidence to interact with both internal and external stakeholders.
Work effectively individually on minimum instructions with great interpersonal and consulting skills.
Team player who is focused on building collaborative relationships, work in a team-oriented process and understanding the pain-points, challenges and goals in a deal-process.
Ability to work with complex commercial matters and be able to handle fast-paced cross-border transactional timelines which requires exceptional organizational and prioritisation skills.

Previous experience in a similar M&A role either from law firm or in-house
Experience within a software technology organisation or working with such clients
